        This product is the subject of one or more issued or pending U.S. Patents (and foreign equivalents) owned or controlled by Materia, Inc. Buyer's use of this product may infringe these or other patents owned or controlled by Materia or third parties. The purchase of this product from Materia, Inc. or its authorized distributor Sigma-Aldrich conveys to the buyer the non-transferable right to use the purchased amount of the product for research purposes only conducted by the buyer (whether the buyer is an academic, non-profit, or for-profit entity). The buyer cannot sell or otherwise transfer (a) this product or (b) materials made using this product to a third party or otherwise use this product or materials made using this product for any Commercial Purpose. Commercial Purpose means any activity by a party for consideration or gain (financial or otherwise) and may include, but is not limited to: (1) use of the product or materials made therefrom in manufacturing; (2) use of the product or materials made therefrom in the development of a commercial or precommercial product or process (including pilot studies, prototyping, and qualification or clinical trials), (3) use of the product or materials made therefrom to provide a service, information, or data to a third party in return for a fee or other consideration; (4) use of the product or materials made therefrom for therapeutic, diagnostic or prophylactic purposes or for any use in or consumption by humans; (5) sale or resale of the product or materials made therefrom, whether or not such product or materials are sold or resold for use only in research; or (6) use of any data or information generated using the product or materials made therefrom in any patent application. Materia, Inc. will not assert a claim against the buyer of infringement of the patents under its control based upon buyers use of the product as specified herein. It is the sole responsibility of buyer to ensure that its use of the product does not infringe the patent rights of third parties.
