1.1 These terms and conditions of sale (these "Terms"), any Sales Documents accompanying or referencing these Terms, and Supplemental Terms, if any, comprise the entire agreement (the “Agreement”) between Sigma-Aldrich, Inc. or an affiliate thereof ("Seller") and the purchaser (“Purchaser”) with respect to the purchase and sale of products (“Products”) and services ("Services") indicated on Sales Documents. “Sales Documents” means any document, print or digital, provided by Seller in the purchase and sale process, including but not limited to quotations, invoices, documents confirming, acknowledging or accepting an order (“Order Confirmation”) and shipping documents. If the parties have signed a contract applicable to the sale of certain Products and/or Services, the terms of such contract shall prevail to the extent they are inconsistent with these Terms.
1.2 These Terms prevail over any Purchaser’s terms regardless of when such terms are provided. Fulfillment of Purchaser's order does not constitute acceptance of any of Purchaser's terms and does not serve to modify or amend these Terms.
1.3 Certain Products and Services may be subject to additional terms (“Supplemental Terms”) not contained herein, which, when applicable, may be referenced on or provided with Sales Documents or Seller’s websites or provided by Seller upon request.
1.4 The Agreement between Seller and Purchaser is created when Seller confirms, acknowledges or begins to fulfill Purchaser’s order. Purchaser may not modify or cancel the Agreement without Seller’s express written consent. Modification or cancellation may require payment by Purchaser of certain costs incurred by Seller.
2.1 Delivery dates provided by Seller are non-binding and time of delivery is not of the essence. Seller shall not be liable for any delays, loss or damage in transit.
2.2 Unless otherwise agreed in writing, Products are shipped using Seller's standard packaging and shipping methods, for which fees may apply. Unless otherwise agreed upon in writing by the parties or set forth on an Order Confirmation, (i) delivery of Products shall be made CPT Purchaser’s Ship-To Address (INCOTERMS® 2020), (ii) freight costs shall be prepaid by Seller and added to its invoice to Purchaser, and (iii) title to Products (excluding any Software) shall pass to Purchaser upon their arrival at the destination.
2.3 Seller may, in its sole discretion, make partial shipments of Products and invoice immediately therefor. Purchaser shall pay for the units shipped whether such shipment is in whole or partial fulfillment of Purchaser's order.
2.4 With respect to certain Products, Seller reserves the right to (a) require the purchase of entire lots; and (b) allocate supply, to the extent such allocation is deemed necessary by Seller, among any or all customers (including Seller’s affiliates and distributors) at its sole discretion, without liability for any failure of performance which may result therefrom.
2.5 Seller shall determine the location of Services. If Services are provided at Seller’s site or a third-party site authorized by Seller, Purchaser shall be responsible for any shipping and transportation costs, including any insurance costs, if applicable. If Services are provided at Purchaser’s site or another site under Purchaser’s control, Purchaser shall (a) cooperate with Seller in all matters relating to the provision of Services and provide access to premises and facilities as may reasonably be necessary or requested, including a safe work environment; (b) promptly provide any requested materials, direction, information, approvals, authorizations, or decisions (“Information”); and (c) ensure that such Information is materially complete and accurate.
3.1 Purchaser shall (a) comply with all instructions, limitations, specifications, use statements or conditions of use made available by Seller, including but not limited to product data, product information, safety data sheets, limited use information and labeling (“Use Documents”), and (b) properly test, use, manufacture and market Products and/or materials produced with Products.
3.2 Purchaser acknowledges that Products are not tested for safety and efficacy in food, drug, medical device, cosmetic, commercial or any other use, unless otherwise explicitly stated in Use Documents. Purchaser is solely responsible for: (a) obtaining any necessary intellectual property permission related to the use of Products, (b) compliance with all applicable regulatory requirements and generally accepted industry standards, and (c) conducting all necessary testing and verification, including for fitness for the intended purpose.
3.3 If the applicable Use Documents, including but not limited to the limited use label license, indicate that the Products are offered and sold for research purposes only, Purchaser has no express or implied authorization from Seller to use such Products for any other purpose, including, without limitation, in vitro diagnostic purposes, in foods, drugs, medical devices or cosmetics for humans or animals or for commercial purposes. Purchaser shall not market, distribute, resell or export Products for any purpose, unless otherwise agreed by Seller in writing.
4. Inspection and Rejection of Nonconforming Products
4.1 Purchaser shall inspect Products no later than five (5) days after receipt ("Inspection Period"). Purchaser will be deemed to have accepted the received Products unless it notifies Seller in writing of any Nonconforming Products during the Inspection Period, furnishing evidence or other documentation if required. "Nonconforming Products" means only those delivered Products, or quantity thereof, which are different than identified in the Order Confirmation.
4.2 If notified in accordance with Section 4.1, Seller shall, in its sole discretion, (a) replace such Nonconforming Products with conforming Products, or (b) credit the price for such Nonconforming Products or, in the event of partial delivery, adjust the invoice to reflect the actual quantity delivered. Seller reserves the right to inspect Products. Purchaser acknowledges and agrees that the remedies set forth herein are the exclusive remedies for delivery of Nonconforming Products.
4.3 Any returns, if authorized, shall be handled in accordance with Section 8 below.
5.1 Purchaser shall purchase Products and Services from Seller at the prices offered by Seller, including but not limited to prices in a valid quotation or prices on a published price list valid as of date of the applicable Order Confirmation. If there is a price increase before Products are shipped, then the Agreement shall be construed as if the increased prices were originally inserted therein, and Purchaser shall be invoiced by Seller in accordance therewith.
5.2 All prices are exclusive of all sales, use, and excise taxes, duties, customs, tariffs, and any other similar taxes or charges of any kind imposed by any governmental authority or quasi-governmental authority on any amounts payable by Purchaser. Purchaser shall be responsible for all such taxes and charges; provided, however, that Purchaser shall not be responsible for any taxes imposed on, or with respect to, Seller's income, revenues, gross receipts, personal or real property, or other assets.
5.3 Purchaser shall pay all invoiced amounts within thirty (30) days from date of invoice to the specified bank account or as otherwise instructed.
5.4 Purchaser shall pay interest on all late payments at the lesser of (a) the rate of eight percent (8%) per annum above the base interest rate of the European Central Bank or (b) the highest rate permissible under applicable law, calculated daily and compounded monthly. Purchaser shall reimburse Seller for all costs incurred in collecting any late payments, including, without limitation, attorneys' fees. In addition to all other remedies available under these Terms or at law, Seller may, without notice to Purchaser, delay or postpone delivery of Products and/or performance of Services and may, at its option, change the terms of payment with respect to any undelivered Products and/or unperformed Services.
5.5 Purchaser shall not withhold payment of any amounts due and payable hereunder by reason of any set-off of any claim or dispute with Seller.
6. Software and Use Documents License Terms
6.1 If any software or Use Documents are provided or licensed by Seller to Purchaser, including software provided together or in connection with any Products or Services (“Software”), the terms provided with such Software or Use Documents shall apply. If there are no terms provided therewith, these Terms, including this Section 6, shall apply.
6.2 Seller grants Purchaser the right and license to use the copy of the Software and the Use documents as provided by Seller. The license rights granted herein may not be transferred to another party unless such party agrees in writing to comply with these Terms. In any case, Software provided together or in connection with any Products or Services shall not be transferred separately from such Products or Services.
6.3 The Software, Use Documents and related intellectual property rights including, without limitation, copyrights are owned by Seller, an affiliate, and/or certain suppliers of Seller or its affiliates, and title to the Software, Use Documents or respective intellectual property rights shall not pass to Purchaser or any other third party. Purchaser understands that its use of any third-party software is subject to, and it will comply with, the terms of any applicable third-party license agreements or notices and to the rights of any other third-party owners or providers of software or firmware included in the Software.
6.4 Purchaser shall (a) only use the Software and Use Documents with Products or Services with or for which it is provided or for a purpose within the scope of the application for which it is provided, (b) not cause or permit any reverse engineering, disassembly, de-compilation, modification or adaptation of the Software or the combination of the Software with any other software, or (c) not move the Software to any country in violation of United States Foreign Asset Control Regulations or other applicable import or export control regulations.
6.5 Any replacements, fixes or upgrades of the Software shall be provided subject to the same restrictions and other provisions contained herein, unless such replacement, fix or upgrade is provided with a separate license agreement. Any such replacements, fixes or upgrades shall be provided at prices and payment terms as specified by Seller.
7.1 Seller warrants to Purchaser that Products will conform to Seller's published specifications for (a) one (1) year from the date of shipment of Products or (b) the remaining shelf life or the period prior to the expiration date of Product, whichever is shorter.
7.2 Seller warrants that Services shall be performed in a professional and workmanlike manner in accordance with generally recognized industry standards for similar services and Seller shall devote adequate resources to meet its obligations under the Agreement. Any claim that Seller has breached the obligation herein must be made within the ninety (90) day period after the performance of the applicable Services.
7.3 Seller warrants that the Software, including any upgrades thereto, will materially conform to published specifications for one (1) year from date of delivery.
7.4 Except for the warranties set forth above, Seller makes no warranty whatsoever with respect to Products (including any uses thereof), Services, the Software or any technical assistance or information that it provides, including (a) warranty of merchantability; (b) warranty of fitness for a particular purpose; or (c) warranty against infringement of intellectual property rights of a third party; whether express or implied by law, course of dealing, course of performance, usage of trade, or otherwise. Any suggestions by Seller regarding use, selection, application or suitability of Products shall not be construed as an express or implied warranty.
7.5 The limited warranties set forth above do not apply unless: (a) Purchaser gives written notice of the defect(s) to Seller immediately upon discovery; (b) if applicable, Seller is given reasonable opportunity to examine the relevant Products, Services or Software; and (c) the defect(s) are verified by Seller.
7.6 The limited warranty set forth in Section 7.1 does not apply if: (a) a defect arises as a result of a breach of the obligations in Section 3; (b) any unauthorized installation, repairs, modifications, upgrades, maintenance or other servicing of Products occurs; (c) a defect arises as a result of normal wear and tear or lack of proper maintenance; or (d) Products are used beyond the shelf life or expiration date as set forth in the applicable Use Documents.
7.7 The limited warranty set forth in Section 7.2 does not apply if an equipment failure or defect results directly or indirectly from the following: (a) non-compliance with Use Documents; (b) any misuse, theft, water flow-back, neglect or wrongful act by Purchaser, its contractors or agents; (c) accidents or shipping related damage; (d) electrical failure; (e) vandalism, explosion, flood or fire, weather or environmental conditions; or (f) any unauthorized installation, repairs, modifications, upgrades, maintenance or other servicing. If this limitation applies but Seller, at its sole discretion, elects to re-perform the applicable Services, Purchaser may be charged for fees and expenses, including but not limited to travel costs and any working time of Seller’s employees, contractors or agents (at list rate).
7.8 The limited warranty set forth in Section 7.3 does not apply to any defects arising out of or relating to (a) Purchaser’s breach of Section 6.4; (b) Purchaser’s failure to promptly install required updates; or (c) the operation of Purchaser or a third-party system or network.
7.9 Subject to the conditions set forth above in this Section, including the time limitations set forth in Sections 7.1, 7.2 and 7.3, Seller shall, in its sole discretion (a) with respect to Products or Software, either repair or replace Products or Software (or the defective part thereof) and if Seller is unable to repair or replace, Seller shall credit the price of such Products, Software or the part thereof; or (b) with respect to Services, re-perform the applicable Services or credit the price of such Services at the pro rata contract rate. The remedies set forth herein shall be Purchaser's sole and exclusive remedy and Seller's entire liability for any breach of its warranty.
Purchaser shall not return Products without Seller’s prior written consent. Seller reserves the right to inspect Products at Purchaser’s site and/or require disposal instead of return. All returns must be in compliance with Seller’s instructions and may be subject to a restocking charge. Certain Products (e.g. diagnostic reagents; refrigerated or frozen products; custom Products or special orders) may not be returned under any circumstances. Title to returned Products shall transfer to Seller upon acceptance at the facility designated by Seller. Any returned Products must be in their original packaging with the original label affixed, and unaltered in form and content.
9. Limitation of Liability and Indemnification
9.1 Purchaser assumes all risk and liability for loss, damage or injury to persons or to property of Purchaser or others arising out of (a) the transport, storage or use of Products or Software, including infringement of any third-party intellectual property rights resulting from Purchaser’s specific use of Products or Software and (b) any provision or use of Services. If Seller's performance of its obligations is prevented or delayed by any act or omission of Purchaser, its agents or subcontractors, Seller shall not be deemed in breach of its obligations or otherwise liable for any costs, charges, or losses sustained or incurred by Purchaser or others, in each case, to the extent arising directly or indirectly from such prevention or delay.
9.2 Purchaser shall indemnify and hold Seller, its affiliates, and their respective agents, employees, and representatives, harmless from and against all claims, damages, losses, costs and expenses (including attorney’s fees) (a) arising from or in connection with the transport, storage, sale or use of Products, (b) resulting from Purchaser’s breach of the Agreement, and/or (c) arising from the negligence, recklessness or misconduct of Purchaser, its affiliates, or their respective agents, employees, partners or subcontractors.
9.3 Except as otherwise expressly provided herein, Seller shall not indemnify nor be liable to Purchaser or any person or entity for any claim, damage or loss arising out of the Products, including the sale, transport, storage, failure, use or distribution thereof, the provision of Services, or the license of Software regardless of the theory of liability, including but not limited to warranty, negligence or strict liability. In addition, Seller shall not be liable for incidental, consequential, indirect, exemplary or special damages of any kind, including, without limitation, liability for loss of use, loss of work in progress, loss of revenue or profits, cost of substitute equipment, facilities or services, downtime costs, or any liability of Purchaser to a third party. The total liability of Seller hereunder shall not exceed the purchase price of Products or Services, or the license fee of Software involved. Without limiting the provisions regarding and limiting warranty claims hereunder, all claims must be brought within one (1) year of delivery of Products or Software or performance of Services, regardless of their nature.
Purchaser shall comply with all applicable laws, regulations and ordinances, including but not limited to those pertaining to the following: export control, pharmaceutical, cosmetic and food preparations, electrical or electronic waste, introduction or production and use of chemical substances (e.g. Toxic Substances Control Act, REACH), and bribery and corruption (e.g. Foreign Corrupt Practices Act and UK Bribery Act). Purchaser shall maintain in effect all required licenses, permissions, authorizations, consents, and permits. Purchaser shall comply with all applicable export and import laws in its purchase of Products hereunder and assumes all responsibility for all shipments governed by such laws. Seller may terminate the Agreement or suspend delivery if any governmental authority imposes antidumping or countervailing duties or any other penalties on Products.
In addition to any other remedies provided hereunder, Seller may immediately terminate the Agreement upon written notice if Purchaser: (a) fails to pay any amount when due; (b) has not otherwise performed or complied herewith, in whole or in part; or (c) becomes insolvent, files a petition for bankruptcy or commences or has commenced against it proceedings relating to bankruptcy, receivership, reorganization , or assignment for the benefit of creditors.
All non-public, confidential or proprietary information, including but not limited to, specifications, samples, patterns, designs, plans, drawings, documents, data, business operations, customer lists, pricing, discounts, or rebates, disclosed by Seller to Purchaser, whether disclosed orally or disclosed or accessed in written, electronic or other form or media, and whether or not marked, designated, or otherwise identified as "confidential" is confidential and may not be disclosed or used by Purchaser for its own use, including but not limited to filing any patent applications disclosing or based on such confidential information, unless authorized in advance in writing by Seller. Upon request, Purchaser shall promptly return or destroy all documents and other materials received from Seller. Seller shall be entitled to injunctive relief for any violation of this section. This section does not apply to information that is: (a) in the public domain; (b) known to Purchaser at the time of disclosure; or (c) rightfully obtained by Purchaser on a non-confidential basis from a third party.
Neither party will be in default of any obligation under this Agreement (other than obligations to pay money) to the extent performance is prevented or delayed by a Force Majeure Event. A “Force Majeure Event” shall include any occurrence beyond the reasonable control of a party, including without limitation: act of nature (e.g., flood, earthquake or storm); war or terrorism; civil commotion or riot; epidemic or pandemic (e.g., COVID-19); destruction of facilities or materials; fire or explosion; labor disturbance or strike; laws, regulations, directives or orders of any government, regulatory or judicial authority; embargo, shortage of raw materials or labor; equipment failure; or failure of public utilities or common carriers. The party declaring a Force Majeure Event will notify the other party in writing, explaining the nature thereof, and will also notify the other party of the cessation of any such event. A party declaring a Force Majeure Event will use commercially reasonable efforts to remedy, remove, or mitigate such event and the effects thereof. Upon cessation of the Force Majeure Event, performance of any suspended obligation or duty will promptly recommence.
14.1 No Waiver. No waiver by Seller of any provisions of the Agreement is effective unless explicitly set forth in writing. No failure to exercise, or delay in exercising, any right, remedy, power or privilege arising from the Agreement operates, or may be construed, as a waiver thereof.
14.2 Assignment. Purchaser shall not assign any of its rights or delegate any of its obligations under the Agreement without Seller’s prior written consent. Any purported assignment or delegation in violation hereof is null and void. No assignment or delegation relieves Purchaser of any of its obligations hereunder.
14.3 Relationship of the Parties. The relationship between the parties is that of independent contractors. Nothing contained in the Agreement shall be construed as creating any agency, partnership, joint venture or other form of joint enterprise, employment or fiduciary relationship between the parties, and neither party shall have authority to contract for or bind the other party in any manner whatsoever.
14.4 No Third-Party Beneficiaries. The Agreement is for the sole benefit of the parties and their respective successors and permitted assigns and nothing herein is intended to or shall confer upon any other person or entity any legal or equitable right, benefit, or remedy of any nature.
14.5 Publicity and Use of Name. Purchaser shall not, without the prior written consent of Seller, (a) refer to Seller, its affiliates, Products or Services in any marketing, promotion or other publicity material, whether written or in electronic form, or (b) use proprietary brand names, trademarks, trade names, logos and other intellectual property owned by Seller or one of its affiliates.
14.6 Governing Law and Venue. All matters arising out of or relating to the Agreement are governed by and construed in accordance with the laws of Massachusetts without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of or relating to the Agreement shall be instituted in courts located in Boston, Massachusetts, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action, or proceeding.
14.7 Notices. Except if otherwise agreed upon by the parties, any notices required hereunder shall be made in writing and sent by courier service with tracking or registered or certified mail to the other party at its registered office or principal place of business or such other address as indicated by the receiving party.
14.8 Severability. If any term or provision of the Agreement is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of the Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction.
14.9 Survival. Provisions hereof which by their nature should apply beyond their terms will remain in force after any termination or expiration of the Agreement including, but not limited to, the following provisions: Sections 3, 6, 7, 9, 12, 14.6 and 14.9.
14.10 Amendment and Modification. Except as otherwise set forth herein, the Agreement may only be amended or modified in writing and signed by an authorized representative of each party.
14.11 Data Protection. Seller will request, process and use personal data (e.g. contact name and business addresses) from Purchaser to fulfill its obligations under the Agreement and for the continuing relationship management with Purchaser. Seller’s processing activities shall be governed by its privacy policy posted at www.sigmaaldrich.com/privacy.

“Nonconforming Products” means only those delivered Products, or quantity thereof, which are different than identified in the Order Confirmation.
4.2 If notified in accordance with Section 4.1, Seller shall, in its sole discretion, (a) replace such Nonconforming Products with conforming Products, or (b) credit the price for such Nonconforming Products or, in the event of partial delivery, adjust the invoice to reflect the actual quantity delivered. Seller reserves the right to inspect Products. Purchaser acknowledges and agrees that the remedies set forth herein are the exclusive remedies for delivery of Nonconforming Products.
4.3 Any returns, if authorized, shall be handled in accordance with Section 8 below.
5. Price and Payment
5.1 Purchaser shall purchase Products and Services from Seller at the prices offered by Seller, including but not limited to prices in a valid quotation or prices on a published price list valid as of date of the applicable Order Confirmation. If there is a price increase before Products are shipped, or Services are performed, then the Agreement shall be construed as if the increased prices were originally inserted therein, and Purchaser shall be invoiced by Seller in accordance therewith.
5.2 All prices are exclusive of all sales, use, and excise taxes, duties, customs, tariffs, and any other similar taxes or charges of any kind imposed by any governmental authority or quasi-governmental authority on any amounts payable by Purchaser. Purchaser shall be responsible for all such taxes and charges; provided, however, that Purchaser shall not be responsible for any taxes imposed on, or with respect to, Seller's income, revenues, gross receipts, personal or real property, or other assets. The prices for Products may not include tariffs (or similar impositions) imposed or increased by any customs or similar government authority.
In the event that any such tariffs, new or increased, have the effect of increasing Seller’s costs of supplying the Products, Seller shall have the right to adjust the prices or implement a fee or surcharge in response to such new or increased tariff costs. For the purposes hereof, “costs of supplying the Products” includes all applicable stages of the supply chain, including acquisition of raw materials or finished goods, manufacture, release, storage, and delivery of Products.
5.3 Purchaser shall pay all invoiced amounts within thirty (30) days from date of invoice to the specified bank account or as otherwise instructed.
5.4 Purchaser shall pay interest on all late payments at the lesser of (a) the rate of eight percent (8%) per annum above the base interest rate of the European Central Bank or (b) the highest rate permissible under applicable law, calculated daily and compounded monthly. Purchaser shall reimburse Seller for all costs incurred in collecting any late payments, including, without limitation, attorneys' fees. In addition to all other remedies available under these Terms or at law, Seller may, without notice to Purchaser, delay or postpone delivery of Products and/or performance of Services and may, at its option, change the terms of payment with respect to any undelivered Products and/or unperformed Services.
5.5 Purchaser shall not withhold payment of any amounts due and payable hereunder by reason of any set-off of any claim or dispute with Seller.
6. Software and Use Documents License Terms
6.1 If any software or Use Documents are provided or licensed by Seller to Purchaser, including software provided together or in connection with any Products or Services (“Software”), the terms provided with such Software or Use Documents shall apply. If there are no terms provided therewith, these Terms, including this Section 6, shall apply.
6.2 Seller grants Purchaser the right and license to use the copy of the Software and the Use documents as provided by Seller. The license rights granted herein may not be transferred to another party unless such party agrees in writing to comply with these Terms. In any case, Software provided together or in connection with any Products or Services shall not be transferred separately from such Products or Services.
6.3 The Software, Use Documents and related intellectual property rights including, without limitation, copyrights are owned by Seller, an affiliate, and/or certain suppliers of Seller or its affiliates, and title to the Software, Use Documents or respective intellectual property rights shall not pass to Purchaser or any other third party. Purchaser understands that its use of any third-party software is subject to, and it will comply with, the terms of any applicable third-party license agreements or notices and to the rights of any other third-party owners or providers of software or firmware included in the Software.
6.4 Purchaser shall (a) only use the Software and Use Documents with Products or Services with or for which it is provided or for a purpose within the scope of the application for which it is provided, and (b) not cause or permit any reverse engineering, disassembly, de-compilation, modification or adaptation of the Software or the combination of the Software with any other software.
6.5 Any replacements, fixes or upgrades of the Software shall be provided subject to the same restrictions and other provisions contained herein, unless such replacement, fix or upgrade is provided with a separate license agreement. Any such replacements, fixes or upgrades shall be provided at prices and payment terms as specified by Seller.
7. Limited Warranties
7.1 Seller warrants to Purchaser that Products will conform to Seller's published specifications for (a) one (1) year from the date of shipment of Products or (b) the remaining shelf life or the period prior to the expiration date of Product, whichever is shorter.
7.2 Seller warrants that Services shall be performed in a professional and workmanlike manner in accordance with generally recognized industry standards for similar services and Seller shall devote adequate resources to meet its obligations under the Agreement. Any claim that Seller has breached the obligation herein must be made within the ninety (90) day period after the performance of the applicable Services.
7.3 Seller warrants that the Software, including any upgrades thereto, will materially conform to published specifications for one (1) year from date of delivery.
7.4 Except for the warranties set forth above, Seller makes no warranty whatsoever with respect to Products (including any uses thereof), Services, the Software or any technical assistance or information that it provides, including (a) warranty of merchantability; (b) warranty of fitness for a particular purpose; or (c) warranty against infringement of intellectual property rights of a third party; whether express or implied by law, course of dealing, course of performance, usage of trade, or otherwise. Any suggestions by Seller regarding use, selection, application or suitability of Products shall not be construed as an express or implied warranty.
7.5 The limited warranties set forth above do not apply unless: (a) Purchaser gives written notice of the defect(s) to Seller immediately upon discovery; (b) if applicable, Seller is given reasonable opportunity to examine the relevant Products, Services or Software; and (c) the defect(s) are verified by Seller.
7.6 The limited warranty set forth in Section 7.1 does not apply if: (a) a defect arises as a result of a breach of the obligations in Section 3; (b) any unauthorized installation, repairs, modifications, upgrades, maintenance or other servicing of Products occurs; (c) a defect arises as a result of normal wear and tear or lack of proper maintenance; or (d) Products are used beyond the shelf life or expiration date as set forth in the applicable Use Documents.
7.7 The limited warranty set forth in Section 7.2 does not apply if an equipment failure or defect results directly or indirectly from the following: (a) non-compliance with Use Documents; (b) any misuse, theft, water flow-back, neglect or wrongful act by Purchaser, its contractors or agents; (c) accidents or shipping related damage; (d) electrical failure; (e) vandalism, explosion, flood or fire, weather or environmental conditions; or (f) any unauthorized installation, repairs, modifications, upgrades, maintenance or other servicing. If this limitation applies but Seller, at its sole discretion, elects to re-perform the applicable Services, Purchaser may be charged for fees and expenses, including but not limited to travel costs and any working time of Seller’s employees, contractors or agents (at list rate).
7.8 The limited warranty set forth in Section 7.3 does not apply to any defects arising out of or relating to (a) Purchaser’s breach of Section 6.4; (b) Purchaser’s failure to promptly install required updates; or (c) the operation of Purchaser or a third-party system or network.
7.9 Subject to the conditions set forth above in this Section, including the time limitations set forth in Sections 7.1, 7.2 and 7.3, Seller shall, in its sole discretion (a) with respect to Products or Software, either repair or replace Products or Software (or the defective part thereof) and if Seller is unable to repair or replace, Seller shall credit the price of such Products, Software or the part thereof; or (b) with respect to Services, re-perform the applicable Services or credit the price of such Services at the pro rata contract rate. The remedies set forth herein shall be Purchaser's sole and exclusive remedy and Seller's entire liability for any breach of its warranty.
8. Returns
Purchaser shall not return Products without Seller’s prior written consent. Seller reserves the right to inspect Products at Purchaser’s site and/or require disposal instead of return. All returns must be in compliance with Seller’s instructions and may be subject to a restocking charge. Certain Products (e.g. diagnostic reagents; refrigerated or frozen products; custom Products or special orders) may not be returned under any circumstances. Title to returned Products shall transfer to Seller upon acceptance at the facility designated by Seller. Any returned Products must be in their original packaging with the original label affixed, and unaltered in form and content.
9. Limitation of Liability and Indemnification
9.1 Purchaser assumes all risk and liability for loss, damage or injury to persons or to property of Purchaser or others arising out of (a) the transport, storage or use of Products or Software, including infringement of any third-party intellectual property rights resulting from Purchaser’s specific use of Products or Software and (b) any provision or use of Services. If Seller's performance of its obligations is prevented or delayed by any act or omission of Purchaser, its agents or subcontractors, Seller shall not be deemed in breach of its obligations or otherwise liable for any costs, charges, or losses sustained or incurred by Purchaser or others, in each case, to the extent arising directly or indirectly from such prevention or delay.
9.2 Purchaser shall indemnify and hold Seller, its affiliates, and their respective agents, employees, and representatives, harmless from and against all claims, damages, losses, costs and expenses (including attorney’s fees) (a) arising from or in connection with the transport, storage, sale or use of Products, (b) resulting from Purchaser’s breach of the Agreement, and/or (c) arising from the negligence, recklessness or misconduct of Purchaser, its affiliates, or their respective agents, employees, partners or subcontractors.
9.3 Except as otherwise expressly provided herein, Seller shall not indemnify nor be liable to Purchaser or any person or entity for any claim, damage or loss arising out of the Products, including the sale, transport, storage, failure, use or distribution thereof, the provision of Services, or the license of Software regardless of the theory of liability, including but not limited to warranty, negligence or strict liability. In addition, Seller shall not be liable for incidental, consequential, indirect, exemplary or special damages of any kind, including, without limitation, liability for loss of use, loss of work in progress, loss of revenue or profits, cost of substitute equipment, facilities or services, downtime costs, or any liability of Purchaser to a third party. The total liability of Seller hereunder shall not exceed the purchase price of Products or Services, or the license fee of Software involved. Without limiting the provisions regarding and limiting warranty claims hereunder, all claims must be brought within one (1) year of delivery of Products or Software or performance of Services, regardless of their nature.
10. Compliance with Laws
10.1 Purchaser shall comply with all applicable laws, regulations and ordinances, including but not limited to those pertaining to the following: export control, pharmaceutical, cosmetic and food preparations, electrical or electronic waste, introduction or production and use of chemical substances (e.g. Toxic Substances Control Act, REACH), and bribery and corruption (e.g. Foreign Corrupt Practices Act and UK Bribery Act). Purchaser shall maintain in effect all required licenses, permissions, authorizations, consents, and permits. Purchaser shall comply with all applicable export and import laws in its purchase of Products or license of Software hereunder and assumes all responsibility for all transfers and shipments governed by such laws. Seller may terminate the Agreement or suspend delivery if any governmental authority imposes antidumping or countervailing duties or any other penalties on Products.
10.2 Purchaser shall conduct all business transactions or any other trade activity in view of products, technologies, or services only in full accordance with all applicable trade related restrictions within the scope and jurisdiction of the United Nations, the European Union, the United States and the country in which Purchaser´s business operations are geographically located. Purchaser shall cooperate with Seller, and shall submit all documentation, including but not limited to end-user declarations, requested by Seller, to obtain the appropriate licenses prior to an export of the Products or the transfer of any such technical data. Purchaser agrees that Seller is not responsible for any denial or revocation of related licenses. Purchaser shall not re-export to Russia or re-export for use in Russia, goods or technology as listed in Annexes XI, XX, XXXV and common high priority items as listed in Annex XL to Council Regulation (EU) No 833/2014 of 31 July 2014 concerning restrictive measures in view of Russia's actions destabilising the situation in Ukraine as amended from time to time. If Purchaser re-exports the supplied goods to or for use in Russia, Seller will notify the competent authorities of the respective breach. Purchaser shall ensure that these re-export restrictions are not frustrated by any third parties in their commercial chain, including possible resellers and shall therefore set up and maintain an adequate monitoring mechanism to detect misconduct by any of these third parties and shall in any such event inform Seller accordingly without undue delay. Any violation of the re-export restrictions set forth herein shall entitle Seller to a penalty of 15% of the total value of this Agreement or price of the goods exported, whichever is higher.
10.3 Purchaser shall be responsible to verify that no end-user of the products or recipient of technical data has been listed on any country’s ‘denied parties’ or 'sanctioned parties‘ list of the United Nations, European Union, United States or the country where the Purchaser is located („Sanctioned List“) and agrees not to sell, ship or otherwise transfer products, technologies, or services to military (including military hospitals), intelligence, or law enforcement party or entities or persons identified on, or owned or controlled by entities or persons identified on, any Sanctioned List or located in any country targeted by sanctions by the United Nations, European Union, or the United States.
10.4 Purchaser grants Seller the right to audit Purchaser’s compliance related to Purchaser’s activities and the sale of Products in destinations embargoed or sanctioned under the United Nations, the European Union and the United States legislation. Purchaser agrees that any violation of this Section 10 amounts to a material breach.
11. Termination
In addition to any other remedies provided hereunder, Seller may immediately suspend or terminate the Agreement upon written notice if Purchaser: (a) fails to pay any amount when due; (b) has not otherwise performed or complied herewith, in whole or in part; (c) becomes insolvent, files a petition for bankruptcy or commences or has commenced against it proceedings relating to bankruptcy, receivership, reorganization , or assignment for the benefit of creditors; (d) fails to perform any of its duties or responsibilities under Section 10; (e) engages in any activity that violates, or causes Purchaser or Seller to become subject to, sanctions implemented or administered by the United Nations, the European Union or the United States; and/or (f) any transaction or performance by Purchaser under any agreement with Seller becomes subject to sanctions by the United Nations, the European Union or the United States.
12. Confidential Information
All non-public, confidential or proprietary information, including but not limited to, specifications, samples, patterns, designs, plans, drawings, documents, data, business operations, customer lists, pricing, discounts, or rebates, disclosed by Seller to Purchaser, whether disclosed orally or disclosed or accessed in written, electronic or other form or media, and whether or not marked, designated, or otherwise identified as "confidential" is confidential and may not be disclosed or used by Purchaser for its own use, including but not limited to filing any patent applications disclosing or based on such confidential information, unless authorized in advance in writing by Seller. Upon request, Purchaser shall promptly return or destroy all documents and other materials received from Seller. Seller shall be entitled to injunctive relief for any violation of this section. This section does not apply to information that is: (a) in the public domain; (b) known to Purchaser at the time of disclosure; or (c) rightfully obtained by Purchaser on a non-confidential basis from a third party.
13. Force Majeure
Neither party will be in default of any obligation under this Agreement (other than obligations to pay money) to the extent performance is prevented or delayed by a Force Majeure Event. A “Force Majeure Event” shall include any occurrence beyond the reasonable control of a party, including without limitation: act of nature (e.g., flood, earthquake or storm); war or terrorism; civil commotion or riot; epidemic or pandemic (e.g., COVID-19); destruction of facilities or materials; fire or explosion; labor disturbance or strike; laws, regulations, directives or orders of any government, regulatory or judicial authority; embargo, shortage of raw materials or labor; equipment failure; or failure of public utilities or common carriers.
The party declaring a Force Majeure Event will notify the other party in writing, explaining the nature thereof, and will also notify the other party of the cessation of any such event. A party declaring a Force Majeure Event will use commercially reasonable efforts to remedy, remove, or mitigate such event and the effects thereof. Upon cessation of the Force Majeure Event, performance of any suspended obligation or duty will promptly recommence.
14. Miscellaneous
14.1 No Waiver. No waiver by Seller of any provisions of the Agreement is effective unless explicitly set forth in writing. No failure to exercise, or delay in exercising, any right, remedy, power or privilege arising from the Agreement operates, or may be construed, as a waiver thereof.
14.2 Assignment. Purchaser shall not assign any of its rights or delegate any of its obligations under the Agreement without Seller’s prior written consent. Any purported assignment or delegation in violation hereof is null and void. No assignment or delegation relieves Purchaser of any of its obligations hereunder.
14.3 Relationship of the Parties. The relationship between the parties is that of independent contractors. Nothing contained in the Agreement shall be construed as creating any agency, partnership, joint venture or other form of joint enterprise, employment or fiduciary relationship between the parties, and neither party shall have authority to contract for or bind the other party in any manner whatsoever.
14.4 No Third-Party Beneficiaries. The Agreement is for the sole benefit of the parties and their respective successors and permitted assigns and nothing herein is intended to or shall confer upon any other person or entity any legal or equitable right, benefit, or remedy of any nature.
14.5 Publicity and Use of Name. Purchaser shall not, without the prior written consent of Seller, (a) refer to Seller, its affiliates, Products or Services in any marketing, promotion or other publicity material, whether written or in electronic form, or (b) use proprietary brand names, trademarks, trade names, logos and other intellectual property owned by Seller or one of its affiliates.
14.6 Governing Law and Venue. All matters arising out of or relating to the Agreement are governed by and construed in accordance with the laws of Bulgaria without giving effect to any choice or conflict of law provision or rule and excluding the provisions of the United Nations Convention on Contracts for the International Sale of Goods (Vienna Convention). Any legal suit, action, or proceeding arising out of or relating to the Agreement shall be instituted in courts located in Sofia, Bulgaria, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action, or proceeding.
14.7 Notices. Except if otherwise agreed upon by the parties, any notices required hereunder shall be made in writing and sent by courier service with tracking or registered or certified mail to the other party at its registered office or principal place of business or such other address as indicated by the receiving party.
14.8 Severability. If any term or provision of the Agreement is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of the Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction.
14.9 Survival. Provisions hereof which by their nature should apply beyond their terms will remain in force after any termination or expiration of the Agreement including, but not limited to, the following provisions: Sections 3, 6, 7, 9, 12, 14.5, 14.6 and 14.9.
14.10 Amendment and Modification. Except as otherwise set forth herein, the Agreement may only be amended or modified in writing and signed by an authorized representative of each party.
14.11 Data Protection. Seller will request, process and use personal data (e.g. contact name and business addresses) from Purchaser to fulfill its obligations under the Agreement and for the continuing relationship management with Purchaser. Seller’s processing activities shall be governed by its privacy policy posted at www.sigmaaldrich.com/privacy.
14.12 Language. These Terms are made available in English and Bulgarian languages. In case of any inconsistencies between the English, and Bulgarian language versions, the English language version shall prevail.

1. Приложимост
1.1 Тези условия и наредби за продажба ("Условия"), всякакви документи за продажба, които придружават или се позовават на тези Условия, и допълнителни условия, ако има такива, съставляват цялостното споразумение ("Споразумение") между Merck Bulgaria EAD или негово дъщерно дружество ("Продавач") и купувача ("Купувач") относно покупката и продажбата на продукти ("Продукти") и услуги ("Услуги"), посочени в документите за продажба. "Документи за продажба" означава всеки документ, печатен или цифров, предоставен от Продавача в процеса на покупка и продажба, включително, но не само, оферти, фактури, документи, потвърждаващи, признаващи или приемащи поръчка ("Потвърждение на поръчка") и транспортни документи. Ако страните са подписали договор, приложим за продажбата на определени Продукти и/или Услуги, условията на такъв договор ще имат предимство в степента, в която са несъвместими с тези Условия.
1.2 Тези Условия имат предимство пред всякакви условия на Купувача, независимо от това кога са предоставени. Изпълнението на поръчката на Купувача не представлява приемане на каквито и да било условия на Купувача и не служи за изменение или допълнение на тези Условия.
1.3 Определени Продукти и Услуги могат да подлежат на допълнителни условия ("Допълнителни условия"), които не са съдържани тук, които, когато са приложими, могат да бъдат посочени в или предоставени с Документите за продажба или уебсайтовете на Продавача или предоставени от Продавача по искане.
1.4 Споразумението между Продавача и Купувача се създава, когато Продавачът потвърди, признае или започне да изпълнява поръчката на Купувача. Купувачът не може да изменя или отменя Споразумението без изричното писмено съгласие на Продавача. Изменението или анулирането може да изисква плащане от Купувача на определени разходи, понесени от Продавача.
2. Доставка и изпълнение
2.1 Датите за доставка или изпълнение, предоставени от Продавача, не са задължителни и времето за доставка не е от съществено значение. Продавачът не носи отговорност за забавяния, загуби или щети по време на транспортиране.
2.2 Освен ако не е уговорено друго в писмен вид, Продуктите се изпращат с използване на стандартните опаковки и методи за доставка на Продавача, за които могат да се прилагат такси. Освен ако не е уговорено друго в писмен вид от страните или посочено в Потвърждението на поръчка, (i) доставката на Продуктите ще се извърши CPT адреса на Купувача (INCOTERMS® 2020), (ii) разходите за транспорт ще бъдат предварително платени от Продавача и добавени към фактурата му на Купувача, или фактурирани отделно и (iii) правото на Продуктите (с изключение на всякакъв софтуер) ще премине на Купувача при тяхното пристигане на дестинацията.
2.3 Продавачът може, по свое усмотрение, да извършва частични доставки на Продукти или частично изпълнение на Услугите и да фактурира незабавно за това. Купувачът трябва да плати за единиците, изпратени, независимо дали такова изпращане или изпълнение е в пълно или частично изпълнение на поръчката на Купувача.
2.4 Относно определени Продукти, Продавачът си запазва правото да (a) изисква покупката на цели партиди; и (b) разпределя доставките, в степента, в която такова разпределение се счита за необходимо от Продавача, между всякакви или всички клиенти (включително дъщерни дружества и дистрибутори на Продавача) по свое усмотрение, без отговорност за всякакви неизпълнения, които могат да произтекат от това.
2.5 Продавачът ще определи местоположението на Услугите. Ако Услугите се предоставят на мястото на Продавача или на трето място, упълномощено от Продавача, Купувачът ще бъде отговорен за всички разходи за транспорт и доставка, включително всякакви разходи за застраховка, ако е приложимо.
Ако Услугите се предоставят на мястото на Купувача или на друго място под контрола на Купувача, Купувачът трябва: (a) да сътрудничи на Продавача по всички въпроси, свързани с предоставянето на Услуги и да предостави достъп до помещения и съоръжения, които могат да бъдат разумно необходими или поискани, включително безопасна работна среда; (b) незабавно да предостави всякакви искани материали, указания, информация, одобрения, разрешения или решения ("Информация"); и (c) да осигури, че такава Информация е материално пълна и точна.
3. Използване на Продукти
3.1 Купувачът трябва (a) да спазва всички инструкции, ограничения, спецификации, изявления за употреба или условия на употреба, предоставени от Продавача, включително, но не само, данни за продукта, информация за продукта, листове с данни за безопасност, информация за ограничена употреба и етикетиране ("Документи за употреба"), и (b) да тества, използва, произвежда и продава Продуктите и/или материалите, произведени с Продуктите.
3.2 Купувачът признава, че Продуктите не са тествани за безопасност и ефективност в храни, лекарства, медицински устройства, козметика, търговски или каквото и да е друго използване, освен ако не е изрично посочено в Документите за употреба. Купувачът е единствено отговорен за: (a) получаване на всякакви необходими разрешения за интелектуална собственост, свързани с употребата на Продуктите, (b) спазване на всички приложими регулаторни изисквания и общоприети индустриални стандарти, и (c) провеждане на всички необходими тестове и проверки, включително за пригодност за предвидената цел.
3.3 Ако приложимите Документи за употреба, включително, но не само, лиценза за ограничена употреба, посочват, че Продуктите се предлагат и продават само за изследователски цели, Купувачът няма изрично или подразбиращо се разрешение от Продавача да използва такива Продукти за каквато и да е друга цел, включително, без ограничение, за ин витро диагностични цели, в храни, лекарства, медицински устройства или козметика за хора или животни или за търговски цели. Купувачът не трябва да продава, разпространява, препродава или изнася Продукти за каквато и да е цел, освен ако не е уговорено друго от Продавача в писмен вид.
4. Инспекция и отхвърляне на несъответстващи Продукти
4.1 Купувачът трябва да инспектира Продуктите не по-късно от пет (5) дни след получаването им ("Период на инспекция"). Купувачът ще се счита за приел получените Продукти, освен ако не уведоми Продавача в писмен вид за всякакви несъответстващи Продукти по време на Периода на инспекция, предоставяйки доказателства или друга документация, ако е необходимо.
4.2 "Несъответстващи Продукти" означава само тези доставени Продукти или количеството им, които са различни от идентифицираните в Потвърждението на поръчка.
4.3 Ако бъде уведомено в съответствие с Раздел 4.1, Продавачът, по свое усмотрение, (a) ще замени такива несъответстващи Продукти със съответстващи Продукти, или (b) ще кредитира цената за такива несъответстващи Продукти или, в случай на частична доставка, ще коригира фактурата, за да отрази действителното количество, доставено. Продавачът си запазва правото да инспектира Продуктите. Купувачът признава и се съгласява, че средствата, посочени тук, са единствените средства за доставка на несъответстващи Продукти.
4.4 Всякакви връщания, ако са разрешени, ще се обработват в съответствие с Раздел 8 по-долу.
5. Цена и плащане
5.1 Купувачът трябва да закупи Продукти и Услуги от Продавача на цените, предложени от Продавача, включително, но не само, цените в валидна оферта или цените в публикуван ценови списък, валиден към датата на приложимото Потвърждение на поръчка. Ако има увеличение на цената преди изпращането на Продуктите или изпълнението на Услугите, тогава Споразумението ще се тълкува така, сякаш увеличените цени първоначално са били включени в него, и Купувачът ще бъде фактуриран от Продавача в съответствие с това.
5.2 Всички цени са без включени данъци върху продажбите, използването и акцизите, мита, такси, мита, тарифи и всякакви други подобни данъци или такси от всякакъв вид, наложени от всякаква държавна или полудържавна власт върху всякакви суми, дължими от Купувача. Купувачът е отговорен за всички такива данъци и такси; при условие, че Купувачът не е отговорен за никакви данъци, наложени на или по отношение на доходите, приходите, брутните постъпления, личната или недвижимата собственост или други активи на Продавача. Цените на Продуктите може да не включват мита (или подобни налози), наложени или увеличени от всяка митническа или подобна държавна власт. В случай, че всякакви такива мита, нови или увеличени, имат ефект на увеличаване на разходите на Продавача за предоставяне на Продуктите, Продавачът има правото да коригира цените или да приложи такса или надбавка в отговор на такива нови или увеличени разходи за мита. За целите на това, "разходи за предоставяне на Продуктите" включва всички приложими етапи на веригата за доставки, включително придобиването на суровини или готови стоки, производство, освобождаване, съхранение и доставка на Продукти.
5.3 Купувачът трябва да плати всички фактурирани суми в срок от тридесет (30) дни от датата на фактурата на посочената банкова сметка или както е указано по друг начин.
5.4 Купувачът трябва да плаща лихва върху всички закъснели плащания на по-малкия от (a) лихвения процент от осем процента (8%) годишно над основния лихвен процент на Европейската централна банка или (b) най-високия процент, разрешен съгласно приложимото законодателство, изчислен ежедневно и капитализиран месечно. Купувачът трябва да възстанови на Продавача всички разходи, понесени при събиране на всякакви закъснели плащания, включително, без ограничение, адвокатски такси. В допълнение към всички други средства, налични съгласно тези Условия или по закон, Продавачът може, без уведомление на Купувача, да забави или отложи доставката на Продукти и/или изпълнението на Услуги и може, по свое усмотрение, да промени условията на плащане по отношение на всякакви недоставени Продукти и/или неизпълнени Услуги.
5.5 Купувачът не трябва да задържа плащането на каквито и да било суми, дължими и платими по настоящите условия, поради каквото и да е приспадане на каквото и да е искане или спор с Продавача.
6. Условия на лиценза за софтуер и документи за употреба
6.1 Ако какъвто и да е софтуер или Документи за употреба са предоставени или лицензирани от Продавача на Купувача, включително софтуер, предоставен заедно или във връзка с каквито и да е Продукти или Услуги ("Софтуер"), условията, предоставени с такъв Софтуер или Документи за употреба, ще се прилагат. Ако няма предоставени условия, тези Условия, включително този Раздел 6, ще се прилагат.
6.2 Продавачът предоставя на Купувача правото и лиценза да използва копието на Софтуера и Документите за употреба, както е предоставено от Продавача. Правата на лиценза, предоставени тук, не могат да бъдат прехвърляни на друга страна, освен ако такава страна не се съгласи в писмен вид да спазва тези Условия. Във всеки случай, Софтуерът, предоставен заедно или във връзка с каквито и да е Продукти или Услуги, не трябва да бъде прехвърлян отделно от такива Продукти или Услуги.
6.3 Софтуерът, Документите за употреба и свързаните права на интелектуална собственост, включително, без ограничение, авторски права, принадлежат на Продавача, дъщерно дружество и/или определени доставчици на Продавача или неговите дъщерни дружества, и правото на Софтуера, Документите за употреба или съответните права на интелектуална собственост не преминава на Купувача или на всяка друга трета страна. Купувачът разбира, че използването на всякакъв софтуер на трета страна подлежи на условията на всякакви приложими лицензионни споразумения или известия на трети страни и на правата на всякакви други трети страни, собственици или доставчици на софтуер или фърмуер, включени в Софтуера.
6.4 Купувачът трябва (a) да използва Софтуера и Документите за употреба само с Продукти или Услуги, с които или за които е предоставен, или за цел, в рамките на обхвата на приложението, за което е предоставен, и (b) да не причинява или позволява никакво обратно инженерство, разглобяване, декомпилация, модификация или адаптация на Софтуера или комбинирането на Софтуера с какъвто и да е друг софтуер.
6.5 Всякакви замени, поправки или актуализации на Софтуера ще бъдат предоставени при същите ограничения и други разпоредби, съдържащи се тук, освен ако такава замяна, поправка или актуализация не е предоставена с отделно лицензионно споразумение. Всякакви такива замени, поправки или актуализации ще бъдат предоставени на цени и условия на плащане, както е посочено от Продавача.
7. Ограничени гаранции
7.1 Продавачът гарантира на Купувача, че Продуктите ще отговарят на публикуваните спецификации на Продавача за (a) една (1) година от датата на изпращане на Продуктите или (b) оставащия срок на годност или периода преди датата на изтичане на Продукта, което е по-кратко.
7.2 Продавачът гарантира, че Услугите ще бъдат изпълнени по професионален и работен начин в съответствие с общоприетите индустриални стандарти за подобни услуги и Продавачът ще отдели адекватни ресурси, за да изпълни задълженията си по Споразумението.
7.3 Всякакви искания, че Продавачът е нарушил задължението тук, трябва да бъдат направени в рамките на деветдесет (90) дни след изпълнението на приложимите Услуги.
7.4 Продавачът гарантира, че Софтуерът, включително всякакви актуализации на него, ще отговаря на публикуваните спецификации за една (1) година от датата на доставка.
7.5 С изключение на гаранциите, посочени по-горе, Продавачът не прави никаква гаранция относно Продуктите (включително всякакви техни употреби), Услугите, Софтуера или всякаква техническа помощ или информация, която предоставя, включително (a) гаранция за търговска годност; (b) гаранция за пригодност за определена цел; или (c) гаранция срещу нарушаване на права на интелектуална собственост на трета страна; независимо дали е изрична или подразбираща се по закон, курс на сделките, курс на изпълнение, търговска практика или по друг начин. Всякакви предложения от Продавача относно употребата, избора, приложението или пригодността на Продуктите не трябва да се тълкуват като изрична или подразбираща се гаранция.
7.6 Ограничените гаранции, посочени по-горе, не се прилагат, освен ако: (a) Купувачът не предостави писмено уведомление за дефектите на Продавача незабавно след откритие; (b) ако е приложимо, на Продавача се предостави разумна възможност да провери съответните Продукти, Услуги или Софтуер; и (c) дефектите бъдат потвърдени от Продавача.
7.7 Ограничената гаранция, посочена в Раздел 7.1, не се прилага, ако: (a) дефект възникне в резултат на нарушение на задълженията в Раздел 3; (b) настъпи неразрешена инсталация, ремонти, модификации, актуализации, поддръжка или друга услуга на Продуктите; (c) дефект възникне в резултат на нормално износване или липса на подходяща поддръжка; или (d) Продуктите се използват след срока на годност или датата на изтичане, посочена в приложимите Документи за употреба.
7.8 Ограничената гаранция, посочена в Раздел 7.2, не се прилага, ако повреда на оборудването или дефект произтича пряко или косвено от следното: (a) несъответствие с Документите за употреба; (b) всякакво неправилно използване, кражба, обратно течение на вода, пренебрегване или неправомерно действие от страна на Купувача, неговите изпълнители или агенти; (c) инциденти или щети, свързани с транспортиране; (d) електрически повреди; (e) вандализъм, експлозии, наводнения или пожари, метеорологични или екологични условия; или (f) всякаква неразрешена инсталация, ремонти, модификации, актуализации, поддръжка или друга услуга.
7.9 Съгласно условията, посочени по-горе в този Раздел, включително времевите ограничения, посочени в Раздели 7.1, 7.2 и 7.3, Продавачът, по свое усмотрение (a) относно Продуктите или Софтуера, или ще ремонтира или замени Продуктите или Софтуера (или дефектната част от тях) и ако Продавачът не може да ремонтира или замени, Продавачът ще кредитира цената на такива Продукти, Софтуер или част от тях; или (b) относно Услугите, ще повтори приложимите Услуги или ще кредитира цената на такива Услуги на пропорционална договорна ставка. Средствата, посочени тук, ще бъдат единственото и изключително средство на Купувача и цялата отговорност на Продавача за всяко нарушение на гаранцията.
8. Връщания
Купувачът не трябва да връща Продукти без предварителното писмено съгласие на Продавача. Продавачът си запазва правото да инспектира Продуктите на мястото на Купувача и/или да изисква унищожаване вместо връщане. Всички връщания трябва да бъдат в съответствие с инструкциите на Продавача и могат да подлежат на такса за повторно складиране. Определени Продукти (например диагностични реагенти; охладени или замразени продукти; персонализирани Продукти или специални поръчки) не могат да бъдат върнати при никакви обстоятелства. Правото на върнатите Продукти ще премине на Продавача при приемането им в съоръжението, определено от Продавача. Всякакви върнати Продукти трябва да бъдат в оригиналната си опаковка с оригиналния етикет, прикрепен, и неизменени по форма и съдържание.
9. Ограничение на отговорността и обезщетение
9.1 Купувачът поема всички рискове и отговорности за загуба, щета или нараняване на лица или имущество на Купувача или на други, произтичащи от (a) транспорта, съхранението или използването на Продукти или Софтуер, включително нарушаване на права на интелектуална собственост на трети страни, произтичащи от специфичното използване на Продукти или Софтуер от Купувача и (b) всякакво предоставяне или използване на Услуги. Ако изпълнението на задълженията на Продавача бъде предотвратено или забавено от каквото и да е действие или бездействие на Купувача, неговите агенти или подизпълнители, Продавачът не се счита за нарушил задълженията си или по друг начин отговорен за каквито и да е разходи, такси или загуби, понесени или понесени от Купувача или други, в всеки случай, до степента, в която произтичат пряко или косвено от такова предотвратяване или забавяне.
9.2 Купувачът трябва да обезщети и освободи Продавача, неговите дъщерни дружества и техните съответни агенти, служители и представители от и срещу всички искове, щети, загуби, разходи и разходи (включително адвокатски такси) (a) произтичащи от или във връзка с транспорта, съхранението, продажбата или използването на Продукти, (b) произтичащи от нарушението на Споразумението от страна на Купувача, и/или (c) произтичащи от небрежността, безразсъдството или неправомерното поведение на Купувача, неговите дъщерни дружества или техните съответни агенти, служители, партньори или подизпълнители.
9.3 С изключение на изрично посоченото тук, Продавачът не носи отговорност и не е отговорен на Купувача или на всяко лице или юридическо лице за какъвто и да е иск, щета или загуба, произтичаща от Продуктите, включително продажбата, транспорта, съхранението, неизпълнението, използването или разпространението им, предоставянето на Услуги или лицензирането на Софтуер, независимо от теорията на отговорността, включително, но не само, гаранция, небрежност или строга отговорност. В допълнение, Продавачът не носи отговорност за случайни, последващи, непреки, примерни или специални щети от всякакъв вид, включително, без ограничение, отговорност за загуба на употреба, загуба на работа в процес, загуба на приходи или печалби, разходи за заместващо оборудване, съоръжения или услуги, разходи за престой или всякаква отговорност на Купувача към трета страна. Общата отговорност на Продавача по настоящите условия не трябва да надвишава покупната цена на Продуктите или Услугите, или лицензионната такса на Софтуера, свързана с тях. Без да се ограничава разпоредбата относно и ограничаването на исковете за гаранция по настоящите условия, всички искове трябва да бъдат предявени в срок от една (1) година от доставката на Продуктите или Софтуера или изпълнението на Услугите, независимо от тяхната природа.
10. Спазване на законите
10.1 Купувачът трябва да спазва всички приложими закони, разпоредби и наредби, включително, но не само, тези, свързани с: контрол на износа, фармацевтични, козметични и хранителни препарати, електрически или електронни отпадъци, въвеждане или производство и използване на химически вещества (например Закон за контрола на токсичните вещества, REACH), и подкуп и корупция (например Закон за чуждестранните корупционни практики и Закон за корупцията в Обединеното кралство). Купувачът трябва да поддържа в сила всички необходими лицензи, разрешения, одобрения, съгласия и разрешителни. Купувачът трябва да спазва всички приложими закони за износ и внос при покупката на Продукти или лицензирането на Софтуер по настоящите условия и поема цялата отговорност за всички трансфери и доставки, регулирани от такива закони. Продавачът може да прекрати Споразумението или да спре доставката, ако всяка държавна власт наложи антидъмпингови или компенсаторни мита или всякакви други санкции върху Продуктите.
10.2 Купувачът трябва да провежда всички бизнес транзакции или всякаква друга търговска дейност, свързана с продукти, технологии или услуги, само в пълно съответствие с всички приложими търговски ограничения в рамките на обхвата и юрисдикцията на Организацията на обединените нации, Европейския съюз, Съединените щати и страната, в която се намират бизнес операциите на Купувача. Купувачът трябва да сътрудничи с Продавача и да предостави цялата документация, включително, но не само, декларации за крайни потребители, поискани от Продавача, за да получи необходимите лицензи преди износа на Продуктите или трансфера на всякакви технически данни. Купувачът се съгласява, че Продавачът не носи отговорност за всякакво отказване или отмяна на свързани лицензи.
10.3 Купувачът не трябва да реекспортира в Русия или реекспортира за употреба в Русия, стоки или технологии, посочени в приложения XI, XX, XXXV и общи приоритетни стоки, посочени в приложение XL към Регламент (ЕС) № 833/2014 от 31 юли 2014 г. относно ограничителните мерки във връзка с действията на Русия, дестабилизиращи ситуацията в Украйна, както е изменен от време на време. Ако Купувачът реекспортира предоставените стоки до или за употреба в Русия, Продавачът ще уведоми компетентните органи за съответното нарушение. Купувачът трябва да осигури, че тези ограничения за реекспорт не са нарушени от трети страни в тяхната търговска верига, включително възможни препродавачи, и следователно трябва да установи и поддържа адекватен механизъм за мониторинг, за да открие неправомерно поведение от страна на която и да е от тези трети страни и следователно да информира Продавача незабавно за всяко такова събитие. Всяко нарушение на ограниченията за реекспорт, посочени тук, дава право на Продавача на санкция в размер на 15% от общата стойност на това Споразумение или цената на изнесените стоки, в зависимост от това, кое е по-високо.
10.4 Купувачът е отговорен да провери, че нито един крайният потребител на продуктите или получател на технически данни не е включен в списъка на "забранените страни" или "санционирани страни" на Организацията на обединените нации, Европейския съюз, Съединените щати или страната, в която се намира Купувачът ("Списък на санкционираните") и се съгласява да не продава, изпраща или по друг начин прехвърля продукти, технологии или услуги на военни (включително военни болници), разузнавателни или правоохранителни органи или лица или субекти, идентифицирани в, или притежавани или контролирани от лица или субекти, идентифицирани в, всяка Санционирана листа или разположени в която и да е страна, обект на санкции от Организацията на обединените нации, Европейския съюз или Съединените щати.
10.5 Купувачът предоставя на Продавача правото да одитира спазването на Купувача, свързано с дейностите на Купувача и продажбата на Продукти в дестинации, наложени или санкционирани съгласно законодателството на Организацията на обединените нации, Европейския съюз и Съединените щати. Купувачът се съгласява, че всяко нарушение на този Раздел 10 представлява съществено нарушение.
11. Прекратяване
В допълнение към всякакви други средства, предоставени тук, Продавачът може незабавно да спре или прекрати Споразумението с писмено уведомление, ако Купувачът:
- (a) не плати каквато и да е сума, когато е дължима;
- (b) не е изпълнил или спазил по друг начин настоящите условия, изцяло или частично;
- (c) стане неплатежоспособен, подаде молба за обявяване в несъстоятелност или започне или е започнато срещу него производство, свързано с несъстоятелност, назначаване на управител, реорганизация или прехвърляне в полза на кредиторите;
- (d) не изпълни каквито и да е свои задължения или отговорности по Раздел 10;
- (e) участва в каквато и да е дейност, която нарушава или причинява на Купувача или Продавача да станат обект на санкции, наложени или администрирани от Организацията на обединените нации, Европейския съюз или Съединените щати; и/или
- (f) всяка транзакция или изпълнение от страна на Купувача по каквото и да е споразумение с Продавача стане обект на санкции от Организацията на обединените нации, Европейския съюз или Съединените щати.
12. Конфиденциална информация
Всичката непублична, конфиденциална или собствена информация, включително, но не само, спецификации, образци, модели, дизайни, планове, чертежи, документи, данни, бизнес операции, списъци на клиенти, цени, отстъпки или възстановявания, разкрити от Продавача на Купувача, независимо дали са разкрити устно или разкрити или достъпени в писмена, електронна или друга форма или медия, и независимо дали са маркирани, обозначени или по друг начин идентифицирани като "конфиденциални", е конфиденциална и не може да бъде разкрита или използвана от Купувача за собствена употреба, включително, но не само, подаване на всякакви патентни заявления, разкриващи или основани на такава конфиденциална информация, освен ако не е разрешено предварително в писмен вид от Продавача. По искане, Купувачът незабавно трябва да върне или унищожи всички документи и други материали, получени от Продавача. Продавачът има право на инжунктивна защита за всяко нарушение на този раздел. Този раздел не се прилага за информация, която е: (a) в публичното пространство; (b) известна на Купувача в момента на разкритие; или (c) законно получена от Купувача на неповерителна основа от трета страна.
13. Форсмажор
Нито една от страните няма да бъде в неизпълнение на каквото и да е задължение по това Споразумение (освен задълженията за плащане на пари) до степента, в която изпълнението е предотвратено или забавено от събитие на форсмажор. "Събитие на форсмажор" ще включва всяко събитие, извън разумния контрол на страната, включително, без ограничение: природни бедствия (например наводнения, земетресения или бури); война или тероризъм; граждански вълнения или бунт; епидемия или пандемия (например COVID-19); унищожаване на съоръжения или материали; пожар или експлозия; трудови конфликти или стачки; закони, разпоредби, директиви или заповеди на всяка държавна, регулаторна или съдебна власт; ембарго, недостиг на суровини или работна сила; повреда на оборудване; или неизпълнение на обществени услуги или общи превозвачи. Страната, която обявява събитие на форсмажор, ще уведоми другата страна в писмен вид, обяснявайки неговата природа, и също така ще уведоми другата страна за прекратяването на всяко такова събитие. Страната, която обявява събитие на форсмажор, ще използва търговски разумни усилия, за да отстрани, премахне или смекчи такова събитие и ефектите от него. След прекратяване на събитието на форсмажор, изпълнението на всяко спряно задължение или дълг ще бъде незабавно възобновено.
14. Разни
14.1 Няма отказ. Никакъв отказ от страна на Продавача на каквито и да е разпоредби на Споразумението не е ефективен, освен ако не е изрично посочен в писмен вид. Никакво неизпълнение или забавяне в упражняването на каквото и да е право, средство, власт или привилегия, произтичащи от Споразумението, не действа и не може да бъде тълкувано като отказ от него.
14.2 Прехвърляне. Купувачът не трябва да прехвърля никакви свои права или да делегира никакви свои задължения по Споразумението без предварителното писмено съгласие на Продавача. Всяко предполагаемо прехвърляне или делегиране в нарушение на това е нищожно и невалидно. Никакво прехвърляне или делегиране не освобождава Купувача от каквито и да е задължения по настоящите условия.
14.3 Отношение между страните. Отношението между страните е на независими изпълнители. Нищо, съдържащо се в Споразумението, не трябва да се тълкува като създаване на каквато и да е агенция, партньорство, съвместно предприятие или друга форма на съвместно предприятие, трудово или фидуциарно отношение между страните, и нито една от страните няма право да сключва договори или да обвързва другата страна по какъвто и да е начин.
14.4 Няма трети страни бенефициенти. Споразумението е само за полза на страните и техните съответни правоприемници и разрешени прехвърлители и нищо тук не е предназначено да или не трябва да предоставя на всяко друго лице или юридическо лице каквито и да е правни или справедливи права, ползи или средства от какъвто и да е вид.
14.5 Публичност и използване на име. Купувачът не трябва, без предварителното писмено съгласие на Продавача, (a) да се позовава на Продавача, неговите дъщерни дружества, Продукти или Услуги в каквито и да е маркетингови, промоционални или други публични материали, независимо дали писмени или в електронна форма, или (b) да използва собственически търговски марки, търговски наименования, логота и друга интелектуална собственост, притежавана от Продавача или едно от неговите дъщерни дружества.
14.6 Приложимо право и юрисдикция. Всички въпроси, произтичащи от или свързани с Споразумението, се регулират от и се тълкуват в съответствие с законите на България, без да се вземат предвид разпоредбите за избор или конфликт на закони и изключвайки разпоредбите на Конвенцията на ООН за договорите за международна продажба на стоки (Виенска конвенция). Всяко правно дело, действие или производство, произтичащо от или свързано с Споразумението, ще бъде заведено в съдилища, разположени в София, България, и всяка страна неотменимо се подчинява на изключителната юрисдикция на такива съдилища в каквото и да е такова дело, действие или производство.
14.7 Уведомления. Освен ако не е уговорено друго от страните, всякакви уведомления, изисквани тук, трябва да бъдат направени в писмен вид и изпратени с куриерска услуга с проследяване или регистрирана или сертифицирана поща на другата страна на нейния регистриран офис или основно място на бизнес или на друг адрес, посочен от получаващата страна.
14.8 Разделимост. Ако някаква разпоредба на Споразумението е невалидна, незаконна или неизпълнима в която и да е юрисдикция, такава невалидност, незаконност или неизпълнимост не трябва да засяга никаква друга разпоредба на Споразумението или да анулира или направи неизпълнима такава разпоредба в която и да е друга юрисдикция.
14.9 Оцеляване. Разпоредбите, които по своята същност трябва да се прилагат след техните условия, ще останат в сила след всяко прекратяване или изтичане на Споразумението, включително, но не само, следните разпоредби: Раздели 3, 6, 7, 9, 12, 14.5, 14.6 и 14.9.
14.10 Изменение и модификация. Освен ако не е посочено друго тук, Споразумението може да бъде изменяно или модифицирано само в писмен вид и подписано от упълномощен представител на всяка страна.
14.11 Защита на данните. Продавачът ще поиска, обработва и използва лични данни (например име на контакт и бизнес адреси) от Купувача, за да изпълни задълженията си по Споразумението и за продължаващо управление на отношенията с Купувача. Дейностите по обработка на Продавача ще се регулират от политиката му за конфиденциалност, публикувана на www.sigmaaldrich.com/privacy.
14.12 Език. Тези условия са налични на английски и български език. В случай на несъответствия между версиите на английски и български език, версията на английски език ще има предимство.

1. Applicability
1.1 These terms and conditions of sale (these "Terms"), any Sales Documents accompanying or referencing these Terms, and Supplemental Terms, if any, comprise the entire agreement (the “Agreement”) between Merck Romania S.R.L or an affiliate thereof ("Seller") and the purchaser (“Purchaser”) with respect to the purchase and sale of products (“Products”) and services ("Services") indicated on Sales Documents. “Sales Documents” means any document, print or digital, provided by Seller in the purchase and sale process, including but not limited to quotations, invoices, documents confirming, acknowledging or accepting an order (“Order Confirmation”) and shipping documents. If the parties have signed a contract applicable to the sale of certain Products and/or Services, the terms of such contract shall prevail to the extent they are inconsistent with these Terms.
1.2 These Terms prevail over any Purchaser’s terms regardless of when such terms are provided. Fulfillment of Purchaser's order does not constitute acceptance of any of Purchaser's terms and does not serve to modify or amend these Terms.
1.3 Certain Products and Services may be subject to additional terms (“Supplemental Terms”) not contained herein, which, when applicable, may be referenced on or provided with Sales Documents or Seller’s websites or provided by Seller upon request.
1.4 The Agreement between Seller and Purchaser is created when Seller confirms, acknowledges or begins to fulfill Purchaser’s order. Purchaser may not modify or cancel the Agreement without Seller’s express written consent. Modification or cancellation may require payment by Purchaser of certain costs incurred by Seller.
2. Delivery and Performance
2.1 Delivery or performance dates provided by Seller are non-binding and time of delivery is not of the essence. Seller shall not be liable for any delays, loss or damage in transit.
2.2 Unless otherwise agreed in writing, Products are shipped using Seller's standard packaging and shipping methods, for which fees may apply. Unless otherwise agreed upon in writing by the parties or set forth on an Order Confirmation, (i) delivery of Products shall be made CPT Purchaser’s Ship-To Address (INCOTERMS® 2020), (ii) freight costs shall be prepaid by Seller and added to its invoice to Purchaser, or invoiced separately, and (iii) title to Products (excluding any Software) shall pass to Purchaser upon their arrival at the destination.
2.3 Seller may, in its sole discretion, make partial shipments of Products or partial performance of the Services and invoice immediately therefor. Purchaser shall pay for the units shipped whether such shipment or performance is in whole or partial fulfillment of Purchaser's order.
2.4 With respect to certain Products, Seller reserves the right to (a) require the purchase of entire lots; and (b) allocate supply, to the extent such allocation is deemed necessary by Seller, among any or all customers (including Seller’s affiliates and distributors) at its sole discretion, without liability for any failure of performance which may result therefrom.
2.5 Seller shall determine the location of Services. If Services are provided at Seller’s site or a third-party site authorized by Seller, Purchaser shall be responsible for any shipping and transportation costs, including any insurance costs, if applicable. If Services are provided at Purchaser’s site or another site under Purchaser’s control, Purchaser shall (a) cooperate with Seller in all matters relating to the provision of Services and provide access to premises and facilities as may reasonably be necessary or requested, including a safe work environment; (b) promptly provide any requested materials, direction, information, approvals, authorizations, or decisions (“Information”); and (c) ensure that such Information is materially complete and accurate.
3. Use of Products
3.1 Purchaser shall (a) comply with all instructions, limitations, specifications, use statements or conditions of use made available by Seller, including but not limited to product data, product information, safety data sheets, limited use information and labeling (“Use Documents”), and (b) properly test, use, manufacture and market Products and/or materials produced with Products.
3.2 Purchaser acknowledges that Products are not tested for safety and efficacy in food, drug, medical device, cosmetic, commercial or any other use, unless otherwise explicitly stated in Use Documents. Purchaser is solely responsible for: (a) obtaining any necessary intellectual property permission related to the use of Products, (b) compliance with all applicable regulatory requirements and generally accepted industry standards, and (c) conducting all necessary testing and verification, including for fitness for the intended purpose.
3.3 If the applicable Use Documents, including but not limited to the limited use label license, indicate that the Products are offered and sold for research purposes only, Purchaser has no express or implied authorization from Seller to use such Products for any other purpose, including, without limitation, in vitro diagnostic purposes, in foods, drugs, medical devices or cosmetics for humans or animals or for commercial purposes. Purchaser shall not market, distribute, resell or export Products for any purpose, unless otherwise agreed by Seller in writing.
4. Inspection and Rejection of Nonconforming Products
4.1 Purchaser shall inspect Products no later than five (5) days after receipt ("Inspection Period"). Purchaser will be deemed to have accepted the received Products unless it notifies Seller in writing of any Nonconforming Products during the Inspection Period, furnishing evidence or other documentation if required.
"Nonconforming Products" means only those delivered Products, or quantity thereof, which are different than identified in the Order Confirmation.
4.2 If notified in accordance with Section 4.1, Seller shall, in its sole discretion, (a) replace such Nonconforming Products with conforming Products, or (b) credit the price for such Nonconforming Products or, in the event of partial delivery, adjust the invoice to reflect the actual quantity delivered. Seller reserves the right to inspect Products. Purchaser acknowledges and agrees that the remedies set forth herein are the exclusive remedies for delivery of Nonconforming Products.
4.3 Any returns, if authorized, shall be handled in accordance with Section 8 below.
5. Price and Payment
5.1 Purchaser shall purchase Products and Services from Seller at the prices offered by Seller, including but not limited to prices in a valid quotation or prices on a published price list valid as of date of the applicable Order Confirmation. If there is a price increase before Products are shipped, or Services are performed, then the Agreement shall be construed as if the increased prices were originally inserted therein, and Purchaser shall be invoiced by Seller in accordance therewith.
5.2 All prices are exclusive of all sales, use, and excise taxes, duties, customs, tariffs, and any other similar taxes or charges of any kind imposed by any governmental authority or quasi-governmental authority on any amounts payable by Purchaser. Purchaser shall be responsible for all such taxes and charges; provided, however, that Purchaser shall not be responsible for any taxes imposed on, or with respect to, Seller's income, revenues, gross receipts, personal or real property, or other assets. The prices for Products may not include tariffs (or similar impositions) imposed or increased by any customs or similar government authority.
In the event that any such tariffs, new or increased, have the effect of increasing Seller’s costs of supplying the Products, Seller shall have the right to adjust the prices or implement a fee or surcharge in response to such new or increased tariff costs. For the purposes hereof, “costs of supplying the Products” includes all applicable stages of the supply chain, including acquisition of raw materials or finished goods, manufacture, release, storage, and delivery of Products.
5.3 Purchaser shall pay all invoiced amounts within thirty (30) days from date of invoice to the specified bank account or as otherwise instructed.
5.4 Purchaser shall pay interest on all late payments at the lesser of (a) the rate of eight percent (8%) per annum above the base interest rate of the European Central Bank or (b) the highest rate permissible under applicable law, calculated daily and compounded monthly. Purchaser shall reimburse Seller for all costs incurred in collecting any late payments, including, without limitation, attorneys' fees. In addition to all other remedies available under these Terms or at law, Seller may, without notice to Purchaser, delay or postpone delivery of Products and/or performance of Services and may, at its option, change the terms of payment with respect to any undelivered Products and/or unperformed Services.
5.5 Purchaser shall not withhold payment of any amounts due and payable hereunder by reason of any set-off of any claim or dispute with Seller.
6. Software and Use Documents License Terms
6.1 If any software or Use Documents are provided or licensed by Seller to Purchaser, including software provided together or in connection with any Products or Services (“Software”), the terms provided with such Software or Use Documents shall apply. If there are no terms provided therewith, these Terms, including this Section 6, shall apply.
6.2 Seller grants Purchaser the right and license to use the copy of the Software and the Use documents as provided by Seller. The license rights granted herein may not be transferred to another party unless such party agrees in writing to comply with these Terms. In any case, Software provided together or in connection with any Products or Services shall not be transferred separately from such Products or Services.
6.3 The Software, Use Documents and related intellectual property rights including, without limitation, copyrights are owned by Seller, an affiliate, and/or certain suppliers of Seller or its affiliates, and title to the Software, Use Documents or respective intellectual property rights shall not pass to Purchaser or any other third party. Purchaser understands that its use of any third-party software is subject to, and it will comply with, the terms of any applicable third-party license agreements or notices and to the rights of any other third-party owners or providers of software or firmware included in the Software.
6.4 Purchaser shall (a) only use the Software and Use Documents with Products or Services with or for which it is provided or for a purpose within the scope of the application for which it is provided, and (b) not cause or permit any reverse engineering, disassembly, de-compilation, modification or adaptation of the Software or the combination of the Software with any other software.
6.5 Any replacements, fixes or upgrades of the Software shall be provided subject to the same restrictions and other provisions contained herein, unless such replacement, fix or upgrade is provided with a separate license agreement. Any such replacements, fixes or upgrades shall be provided at prices and payment terms as specified by Seller.
7. Limited Warranties
7.1 Seller warrants to Purchaser that Products will conform to Seller's published specifications for (a) one (1) year from the date of shipment of Products or (b) the remaining shelf life or the period prior to the expiration date of Product, whichever is shorter.
7.2 Seller warrants that Services shall be performed in a professional and workmanlike manner in accordance with generally recognized industry standards for similar services and Seller shall devote adequate resources to meet its obligations under the Agreement. Any claim that Seller has breached the obligation herein must be made within the ninety (90) day period after the performance of the applicable Services.
7.3 Seller warrants that the Software, including any upgrades thereto, will materially conform to published specifications for one (1) year from date of delivery.
7.4 Except for the warranties set forth above, Seller makes no warranty whatsoever with respect to Products (including any uses thereof), Services, the Software or any technical assistance or information that it provides, including (a) warranty of merchantability; (b) warranty of fitness for a particular purpose; or (c) warranty against infringement of intellectual property rights of a third party; whether express or implied by law, course of dealing, course of performance, usage of trade, or otherwise. Any suggestions by Seller regarding use, selection, application or suitability of Products shall not be construed as an express or implied warranty.
7.5 The limited warranties set forth above do not apply unless: (a) Purchaser gives written notice of the defect(s) to Seller immediately upon discovery; (b) if applicable, Seller is given reasonable opportunity to examine the relevant Products, Services or Software; and (c) the defect(s) are verified by Seller.
7.6 The limited warranty set forth in Section 7.1 does not apply if: (a) a defect arises as a result of a breach of the obligations in Section 3; (b) any unauthorized installation, repairs, modifications, upgrades, maintenance or other servicing of Products occurs; (c) a defect arises as a result of normal wear and tear or lack of proper maintenance; or (d) Products are used beyond the shelf life or expiration date as set forth in the applicable Use Documents.
7.7 The limited warranty set forth in Section 7.2 does not apply if an equipment failure or defect results directly or indirectly from the following: (a) non-compliance with Use Documents; (b) any misuse, theft, water flow-back, neglect or wrongful act by Purchaser, its contractors or agents; (c) accidents or shipping related damage; (d) electrical failure; (e) vandalism, explosion, flood or fire, weather or environmental conditions; or (f) any unauthorized installation, repairs, modifications, upgrades, maintenance or other servicing. If this limitation applies but Seller, at its sole discretion, elects to re-perform the applicable Services, Purchaser may be charged for fees and expenses, including but not limited to travel costs and any working time of Seller’s employees, contractors or agents (at list rate).
7.8 The limited warranty set forth in Section 7.3 does not apply to any defects arising out of or relating to (a) Purchaser’s breach of Section 6.4; (b) Purchaser’s failure to promptly install required updates; or (c) the operation of Purchaser or a third-party system or network.
7.9 Subject to the conditions set forth above in this Section, including the time limitations set forth in Sections 7.1, 7.2 and 7.3, Seller shall, in its sole discretion (a) with respect to Products or Software, either repair or replace Products or Software (or the defective part thereof) and if Seller is unable to repair or replace, Seller shall credit the price of such Products, Software or the part thereof; or (b) with respect to Services, re-perform the applicable Services or credit the price of such Services at the pro rata contract rate. The remedies set forth herein shall be Purchaser's sole and exclusive remedy and Seller's entire liability for any breach of its warranty.
8. Returns
Purchaser shall not return Products without Seller’s prior written consent. Seller reserves the right to inspect Products at Purchaser’s site and/or require disposal instead of return. All returns must be in compliance with Seller’s instructions and may be subject to a restocking charge. Certain Products (e.g. diagnostic reagents; refrigerated or frozen products; custom Products or special orders) may not be returned under any circumstances. Title to returned Products shall transfer to Seller upon acceptance at the facility designated by Seller. Any returned Products must be in their original packaging with the original label affixed, and unaltered in form and content.
9. Limitation of Liability and Indemnification
9.1 Purchaser assumes all risk and liability for loss, damage or injury to persons or to property of Purchaser or others arising out of (a) the transport, storage or use of Products or Software, including infringement of any third-party intellectual property rights resulting from Purchaser’s specific use of Products or Software and (b) any provision or use of Services. If Seller's performance of its obligations is prevented or delayed by any act or omission of Purchaser, its agents or subcontractors, Seller shall not be deemed in breach of its obligations or otherwise liable for any costs, charges, or losses sustained or incurred by Purchaser or others, in each case, to the extent arising directly or indirectly from such prevention or delay.
9.2 Purchaser shall indemnify and hold Seller, its affiliates, and their respective agents, employees, and representatives, harmless from and against all claims, damages, losses, costs and expenses (including attorney’s fees) (a) arising from or in connection with the transport, storage, sale or use of Products, (b) resulting from Purchaser’s breach of the Agreement, and/or (c) arising from the negligence, recklessness or misconduct of Purchaser, its affiliates, or their respective agents, employees, partners or subcontractors.
9.3 Except as otherwise expressly provided herein, Seller shall not indemnify nor be liable to Purchaser or any person or entity for any claim, damage or loss arising out of the Products, including the sale, transport, storage, failure, use or distribution thereof, the provision of Services, or the license of Software regardless of the theory of liability, including but not limited to warranty, negligence or strict liability. In addition, Seller shall not be liable for incidental, consequential, indirect, exemplary or special damages of any kind, including, without limitation, liability for loss of use, loss of work in progress, loss of revenue or profits, cost of substitute equipment, facilities or services, downtime costs, or any liability of Purchaser to a third party. The total liability of Seller hereunder shall not exceed the purchase price of Products or Services, or the license fee of Software involved. Without limiting the provisions regarding and limiting warranty claims hereunder, all claims must be brought within one (1) year of delivery of Products or Software or performance of Services, regardless of their nature.
10. Compliance with Laws
10.1 Purchaser shall comply with all applicable laws, regulations and ordinances, including but not limited to those pertaining to the following: export control, pharmaceutical, cosmetic and food preparations, electrical or electronic waste, introduction or production and use of chemical substances (e.g. Toxic Substances Control Act, REACH), and bribery and corruption (e.g. Foreign Corrupt Practices Act and UK Bribery Act). Purchaser shall maintain in effect all required licenses, permissions, authorizations, consents, and permits. Purchaser shall comply with all applicable export and import laws in its purchase of Products or license of Software hereunder and assumes all responsibility for all transfers and shipments governed by such laws. Seller may terminate the Agreement or suspend delivery if any governmental authority imposes antidumping or countervailing duties or any other penalties on Products.
10.2 Purchaser shall conduct all business transactions or any other trade activity in view of products, technologies, or services only in full accordance with all applicable trade related restrictions within the scope and jurisdiction of the United Nations, the European Union, the United States and the country in which Purchaser´s business operations are geographically located. Purchaser shall cooperate with Seller, and shall submit all documentation, including but not limited to end-user declarations, requested by Seller, to obtain the appropriate licenses prior to an export of the Products or the transfer of any such technical data. Purchaser agrees that Seller is not responsible for any denial or revocation of related licenses.
Purchaser shall not re-export to Russia or re-export for use in Russia, goods or technology as listed in Annexes XI, XX, XXXV and common high priority items as listed in Annex XL to Council Regulation (EU) No 833/2014 of 31 July 2014 concerning restrictive measures in view of Russia's actions destabilising the situation in Ukraine as amended from time to time. If Purchaser re-exports the supplied goods to or for use in Russia, Seller will notify the competent authorities of the respective breach. Purchaser shall ensure that these re-export restrictions are not frustrated by any third parties in their commercial chain, including possible resellers and shall therefore set up and maintain an adequate monitoring mechanism to detect misconduct by any of these third parties and shall in any such event inform Seller accordingly without undue delay. Any violation of the re-export restrictions set forth herein shall entitle Seller to a penalty of 15% of the total value of this Agreement or price of the goods exported, whichever is higher.
10.3 Purchaser shall be responsible to verify that no end-user of the products or recipient of technical data has been listed on any country’s ‘denied parties’ or 'sanctioned parties‘ list of the United Nations, European Union, United States or the country where the Purchaser is located („Sanctioned List“) and agrees not to sell, ship or otherwise transfer products, technologies, or services to military (including military hospitals), intelligence, or law enforcement party or entities or persons identified on, or owned or controlled by entities or persons identified on, any Sanctioned List or located in any country targeted by sanctions by the United Nations, European Union, or the United States.
10.4 Purchaser grants Seller the right to audit Purchaser’s compliance related to Purchaser’s activities and the sale of Products in destinations embargoed or sanctioned under the United Nations, the European Union and the United States legislation. Purchaser agrees that any violation of this Section 10 amounts to a material breach.
11. Termination
In addition to any other remedies provided hereunder, Seller may immediately suspend or terminate the Agreement upon written notice if Purchaser: (a) fails to pay any amount when due; (b) has not otherwise performed or complied herewith, in whole or in part; (c) becomes insolvent, files a petition for bankruptcy or commences or has commenced against it proceedings relating to bankruptcy, receivership, reorganization, or assignment for the benefit of creditors; (d) fails to perform any of its duties or responsibilities under Section 10; (e) engages in any activity that violates, or causes Purchaser or Seller to become subject to, sanctions implemented or administered by the United Nations, the European Union or the United States; and/or (f) any transaction or performance by Purchaser under any agreement with Seller becomes subject to sanctions by the United Nations, the European Union or the United States.
12. Confidential Information
All non-public, confidential or proprietary information, including but not limited to, specifications, samples, patterns, designs, plans, drawings, documents, data, business operations, customer lists, pricing, discounts, or rebates, disclosed by Seller to Purchaser, whether disclosed orally or disclosed or accessed in written, electronic or other form or media, and whether or not marked, designated, or otherwise identified as "confidential" is confidential and may not be disclosed or used by Purchaser for its own use, including but not limited to filing any patent applications disclosing or based on such confidential information, unless authorized in advance in writing by Seller. Upon request, Purchaser shall promptly return or destroy all documents and other materials received from Seller. Seller shall be entitled to injunctive relief for any violation of this section. This section does not apply to information that is: (a) in the public domain; (b) known to Purchaser at the time of disclosure; or (c) rightfully obtained by Purchaser on a non-confidential basis from a third party.
13. Force Majeure
Neither party will be in default of any obligation under this Agreement (other than obligations to pay money) to the extent performance is prevented or delayed by a Force Majeure Event. A “Force Majeure Event” shall include any occurrence beyond the reasonable control of a party, including without limitation: act of nature (e.g., flood, earthquake or storm); war or terrorism; civil commotion or riot; epidemic or pandemic (e.g., COVID-19); destruction of facilities or materials; fire or explosion; labor disturbance or strike; laws, regulations, directives or orders of any government, regulatory or judicial authority; embargo, shortage of raw materials or labor; equipment failure; or failure of public utilities or common carriers.
The party declaring a Force Majeure Event will notify the other party in writing, explaining the nature thereof, and will also notify the other party of the cessation of any such event. A party declaring a Force Majeure Event will use commercially reasonable efforts to remedy, remove, or mitigate such event and the effects thereof. Upon cessation of the Force Majeure Event, performance of any suspended obligation or duty will promptly recommence.
14. Miscellaneous
14.1 No Waiver. No waiver by Seller of any provisions of the Agreement is effective unless explicitly set forth in writing. No failure to exercise, or delay in exercising, any right, remedy, power or privilege arising from the Agreement operates, or may be construed, as a waiver thereof.
14.2 Assignment. Purchaser shall not assign any of its rights or delegate any of its obligations under the Agreement without Seller’s prior written consent. Any purported assignment or delegation in violation hereof is null and void. No assignment or delegation relieves Purchaser of any of its obligations hereunder.
14.3 Relationship of the Parties. The relationship between the parties is that of independent contractors. Nothing contained in the Agreement shall be construed as creating any agency, partnership, joint venture or other form of joint enterprise, employment or fiduciary relationship between the parties, and neither party shall have authority to contract for or bind the other party in any manner whatsoever.
14.4 No Third-Party Beneficiaries. The Agreement is for the sole benefit of the parties and their respective successors and permitted assigns and nothing herein is intended to or shall confer upon any other person or entity any legal or equitable right, benefit, or remedy of any nature.
14.5 Publicity and Use of Name. Purchaser shall not, without the prior written consent of Seller, (a) refer to Seller, its affiliates, Products or Services in any marketing, promotion or other publicity material, whether written or in electronic form, or (b) use proprietary brand names, trademarks, trade names, logos and other intellectual property owned by Seller or one of its affiliates.
14.6 Governing Law and Venue. All matters arising out of or relating to the Agreement are governed by and construed in accordance with the laws of Romania without giving effect to any choice or conflict of law provision or rule and excluding the provisions of the United Nations Convention on Contracts for the International Sale of Goods (Vienna Convention). Any legal suit, action, or proceeding arising out of or relating to the Agreement shall be instituted in courts located in Bucharest, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action, or proceeding.
14.7 Notices. Except if otherwise agreed upon by the parties, any notices required hereunder shall be made in writing and sent by courier service with tracking or registered or certified mail to the other party at its registered office or principal place of business or such other address as indicated by the receiving party.
14.8 Severability. If any term or provision of the Agreement is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of the Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction.
14.9 Survival. Provisions hereof which by their nature should apply beyond their terms will remain in force after any termination or expiration of the Agreement including, but not limited to, the following provisions: Sections 3, 6, 7, 9, 12, 14.5, 14.6 and 14.9.
14.10 Amendment and Modification. Except as otherwise set forth herein, the Agreement may only be amended or modified in writing and signed by an authorized representative of each party.
14.11 Data Protection. Seller will request, process and use personal data (e.g. contact name and business addresses) from Purchaser to fulfill its obligations under the Agreement and for the continuing relationship management with Purchaser. Seller’s processing activities shall be governed by its privacy policy posted at www.sigmaaldrich.com/privacy.
14.12 Language. These Terms are made available in Romanian and English versions. In case of any inconsistencies between the versions, the English language version shall prevail.

1. Applicability
1.1 These terms and conditions of sale (these "Terms"), any Sales Documents accompanying or referencing these Terms, and Supplemental Terms, if any, comprise the entire agreement (the “Agreement”) between Merck Commercial Industrial Pharmaceutical Chemical Single Member S.A. or an affiliate thereof ("Seller") and the purchaser (“Purchaser”) with respect to the purchase and sale of products (“Products”) and services ("Services") indicated on Sales Documents. “Sales Documents” means any document, print or digital, provided by Seller in the purchase and sale process, including but not limited to quotations, invoices, documents confirming, acknowledging or accepting an order (“Order Confirmation”) and shipping documents. 2.3 Seller may, in its sole discretion, make partial shipments of Products or partial performance of the Services and invoice immediately therefor. Purchaser shall pay for the units shipped whether such shipment or performance is in whole or partial fulfillment of Purchaser's order.
2.4 With respect to certain Products, Seller reserves the right to (a) require the purchase of entire lots; and (b) allocate supply, to the extent such allocation is deemed necessary by Seller, among any or all customers (including Seller’s affiliates and distributors) at its sole discretion, without liability for any failure of performance which may result therefrom.
2.5 Seller shall determine the location of Services. If Services are provided at Seller’s site or a third-party site authorized by Seller, Purchaser shall be responsible for any shipping and transportation costs, including any insurance costs, if applicable. If Services are provided at Purchaser’s site or another site under Purchaser’s control, Purchaser shall (a) cooperate with Seller in all matters relating to the provision of Services and provide access to premises and facilities as may reasonably be necessary or requested, including a safe work environment; (b) promptly provide any requested materials, direction, information, approvals, authorizations, or decisions (“Information”); and (c) ensure that such Information is materially complete and accurate.
3. Use of Products
3.1 Purchaser shall (a) comply with all instructions, limitations, specifications, use statements or conditions of use made available by Seller, including but not limited to product data, product information, safety data sheets, limited use information and labeling (“Use Documents”), and (b) properly test, use, manufacture and market Products and/or materials produced with Products.
3.2 Purchaser acknowledges that Products are not tested for safety and efficacy in food, drug, medical device, cosmetic, commercial or any other use, unless otherwise explicitly stated in Use Documents. Purchaser is solely responsible for: (a) obtaining any necessary intellectual property permission related to the use of Products, (b) compliance with all applicable regulatory requirements and generally accepted industry standards, and (c) conducting all necessary testing and verification, including for fitness for the intended purpose.
3.3 If the applicable Use Documents, including but not limited to the limited use label license, indicate that the Products are offered and sold for research purposes only, Purchaser has no express or implied authorization from Seller to use such Products for any other purpose, including, without limitation, in vitro diagnostic purposes, in foods, drugs, medical devices or cosmetics for humans or animals or for commercial purposes. Purchaser shall not market, distribute, resell or export Products for any purpose, unless otherwise agreed by Seller in writing.
4. Inspection and Rejection of Nonconforming Products
4.1 Purchaser shall inspect Products no later than five (5) days after receipt ("Inspection Period"). Purchaser will be deemed to have accepted the received Products unless it notifies Seller in writing of any Nonconforming Products during the Inspection Period, furnishing evidence or other documentation if required.
"Nonconforming Products" means only those delivered Products, or quantity thereof, which are different than identified in the Order Confirmation.
4.2 If notified in accordance with Section 4.1, Seller shall, in its sole discretion, (a) replace such Nonconforming Products with conforming Products, or (b) credit the price for such Nonconforming Products or, in the event of partial delivery, adjust the invoice to reflect the actual quantity delivered. Seller reserves the right to inspect Products. Purchaser acknowledges and agrees that the remedies set forth herein are the exclusive remedies for delivery of Nonconforming Products.
4.3 Any returns, if authorized, shall be handled in accordance with Section 8 below.
5. Price and Payment
5.1 Purchaser shall purchase Products and Services from Seller at the prices offered by Seller, including but not limited to prices in a valid quotation or prices on a published price list valid as of date of the applicable Order Confirmation. If there is a price increase before Products are shipped, or Services are performed, then the Agreement shall be construed as if the increased prices were originally inserted therein, and Purchaser shall be invoiced by Seller in accordance therewith.
5.2 All prices are exclusive of all sales, use, and excise taxes, duties, customs, tariffs, and any other similar taxes or charges of any kind imposed by any governmental authority or quasi-governmental authority on any amounts payable by Purchaser. Purchaser shall be responsible for all such taxes and charges; provided, however, that Purchaser shall not be responsible for any taxes imposed on, or with respect to, Seller's income, revenues, gross receipts, personal or real property, or other assets. The prices for Products may not include tariffs (or similar impositions) imposed or increased by any customs or similar government authority.
In the event that any such tariffs, new or increased, have the effect of increasing Seller’s costs of supplying the Products, Seller shall have the right to adjust the prices or implement a fee or surcharge in response to such new or increased tariff costs. For the purposes hereof, “costs of supplying the Products” includes all applicable stages of the supply chain, including acquisition of raw materials or finished goods, manufacture, release, storage, and delivery of Products.
5.3 Purchaser shall pay all invoiced amounts within thirty (30) days from date of invoice to the specified bank account or as otherwise instructed.
5.4 Purchaser shall pay interest on all late payments at the lesser of (a) the rate of eight percent (8%) per annum above the base interest rate of the European Central Bank or (b) the highest rate permissible under applicable law, calculated daily and compounded monthly. Purchaser shall reimburse Seller for all costs incurred in collecting any late payments, including, without limitation, attorneys' fees. In addition to all other remedies available under these Terms or at law, Seller may, without notice to Purchaser, delay or postpone delivery of Products and/or performance of Services and may, at its option, change the terms of payment with respect to any undelivered Products and/or unperformed Services.
5.5 Purchaser shall not withhold payment of any amounts due and payable hereunder by reason of any set-off of any claim or dispute with Seller.
6. Software and Use Documents License Terms
6.1 If any software or Use Documents are provided or licensed by Seller to Purchaser, including software provided together or in connection with any Products or Services (“Software”), the terms provided with such Software or Use Documents shall apply. If there are no terms provided therewith, these Terms, including this Section 6, shall apply.
6.2 Seller grants Purchaser the right and license to use the copy of the Software and the Use documents as provided by Seller. The license rights granted herein may not be transferred to another party unless such party agrees in writing to comply with these Terms. In any case, Software provided together or in connection with any Products or Services shall not be transferred separately from such Products or Services.
6.3 The Software, Use Documents and related intellectual property rights including, without limitation, copyrights are owned by Seller, an affiliate, and/or certain suppliers of Seller or its affiliates, and title to the Software, Use Documents or respective intellectual property rights shall not pass to Purchaser or any other third party. Purchaser understands that its use of any third-party software is subject to, and it will comply with, the terms of any applicable third-party license agreements or notices and to the rights of any other third-party owners or providers of software or firmware included in the Software.
6.4 Purchaser shall (a) only use the Software and Use Documents with Products or Services with or for which it is provided or for a purpose within the scope of the application for which it is provided, and (b) not cause or permit any reverse engineering, disassembly, de-compilation, modification or adaptation of the Software or the combination of the Software with any other software.
6.5 Any replacements, fixes or upgrades of the Software shall be provided subject to the same restrictions and other provisions contained herein, unless such replacement, fix or upgrade is provided with a separate license agreement. Any such replacements, fixes or upgrades shall be provided at prices and payment terms as specified by Seller.
7. Limited Warranties
7.1 Seller warrants to Purchaser that Products will conform to Seller's published specifications for (a) one (1) year from the date of shipment of Products or (b) the remaining shelf life or the period prior to the expiration date of Product, whichever is shorter.
7.2 Seller warrants that Services shall be performed in a professional and workmanlike manner in accordance with generally recognized industry standards for similar services and Seller shall devote adequate resources to meet its obligations under the Agreement. Any claim that Seller has breached the obligation herein must be made within the ninety (90) day period after the performance of the applicable Services.
7.3 Seller warrants that the Software, including any upgrades thereto, will materially conform to published specifications for one (1) year from date of delivery.
7.4 Except for the warranties set forth above, Seller makes no warranty whatsoever with respect to Products (including any uses thereof), Services, the Software or any technical assistance or information that it provides, including (a) warranty of merchantability; (b) warranty of fitness for a particular purpose; or (c) warranty against infringement of intellectual property rights of a third party; whether express or implied by law, course of dealing, course of performance, usage of trade, or otherwise. Any suggestions by Seller regarding use, selection, application or suitability of Products shall not be construed as an express or implied warranty.
7.5 The limited warranties set forth above do not apply unless: (a) Purchaser gives written notice of the defect(s) to Seller immediately upon discovery; (b) if applicable, Seller is given reasonable opportunity to examine the relevant Products, Services or Software; and (c) the defect(s) are verified by Seller.
7.6 The limited warranty set forth in Section 7.1 does not apply if: (a) a defect arises as a result of a breach of the obligations in Section 3; (b) any unauthorized installation, repairs, modifications, upgrades, maintenance or other servicing of Products occurs; (c) a defect arises as a result of normal wear and tear or lack of proper maintenance; or (d) Products are used beyond the shelf life or expiration date as set forth in the applicable Use Documents.
7.7 The limited warranty set forth in Section 7.2 does not apply if an equipment failure or defect results directly or indirectly from the following: (a) non-compliance with Use Documents; (b) any misuse, theft, water flow-back, neglect or wrongful act by Purchaser, its contractors or agents; (c) accidents or shipping related damage; (d) electrical failure; (e) vandalism, explosion, flood or fire, weather or environmental conditions; or (f) any unauthorized installation, repairs, modifications, upgrades, maintenance or other servicing. If this limitation applies but Seller, at its sole discretion, elects to re-perform the applicable Services, Purchaser may be charged for fees and expenses, including but not limited to travel costs and any working time of Seller’s employees, contractors or agents (at list rate).
7.8 The limited warranty set forth in Section 7.3 does not apply to any defects arising out of or relating to (a) Purchaser’s breach of Section 6.4; (b) Purchaser’s failure to promptly install required updates; or (c) the operation of Purchaser or a third-party system or network.
7.9 Subject to the conditions set forth above in this Section, including the time limitations set forth in Sections 7.1, 7.2 and 7.3, Seller shall, in its sole discretion (a) with respect to Products or Software, either repair or replace Products or Software (or the defective part thereof) and if Seller is unable to repair or replace, Seller shall credit the price of such Products, Software or the part thereof; or (b) with respect to Services, re-perform the applicable Services or credit the price of such Services at the pro rata contract rate. The remedies set forth herein shall be Purchaser's sole and exclusive remedy and Seller's entire liability for any breach of its warranty.
8. Returns
Purchaser shall not return Products without Seller’s prior written consent. Seller reserves the right to inspect Products at Purchaser’s site and/or require disposal instead of return. All returns must be in compliance with Seller’s instructions and may be subject to a restocking charge. Certain Products (e.g. diagnostic reagents; refrigerated or frozen products; custom Products or special orders) may not be returned under any circumstances. Title to returned Products shall transfer to Seller upon acceptance at the facility designated by Seller. Any returned Products must be in their original packaging with the original label affixed, and unaltered in form and content.
9. Limitation of Liability and Indemnification
9.1 Purchaser assumes all risk and liability for loss, damage or injury to persons or to property of Purchaser or others arising out of (a) the transport, storage or use of Products or Software, including infringement of any third-party intellectual property rights resulting from Purchaser’s specific use of Products or Software and (b) any provision or use of Services. If Seller's performance of its obligations is prevented or delayed by any act or omission of Purchaser, its agents or subcontractors, Seller shall not be deemed in breach of its obligations or otherwise liable for any costs, charges, or losses sustained or incurred by Purchaser or others, in each case, to the extent arising directly or indirectly from such prevention or delay.
9.2 Purchaser shall indemnify and hold Seller, its affiliates, and their respective agents, employees, and representatives, harmless from and against all claims, damages, losses, costs and expenses (including attorney’s fees) (a) arising from or in connection with the transport, storage, sale or use of Products, (b) resulting from Purchaser’s breach of the Agreement, and/or (c) arising from the negligence, recklessness or misconduct of Purchaser, its affiliates, or their respective agents, employees, partners or subcontractors.
9.3 Except as otherwise expressly provided herein, Seller shall not indemnify nor be liable to Purchaser or any person or entity for any claim, damage or loss arising out of the Products, including the sale, transport, storage, failure, use or distribution thereof, the provision of Services, or the license of Software regardless of the theory of liability, including but not limited to warranty, negligence or strict liability. In addition, Seller shall not be liable for incidental, consequential, indirect, exemplary or special damages of any kind, including, without limitation, liability for loss of use, loss of work in progress, loss of revenue or profits, cost of substitute equipment, facilities or services, downtime costs, or any liability of Purchaser to a third party. The total liability of Seller hereunder shall not exceed the purchase price of Products or Services, or the license fee of Software involved. Without limiting the provisions regarding and limiting warranty claims hereunder, all claims must be brought within one (1) year of delivery of Products or Software or performance of Services, regardless of their nature.
10. Compliance with Laws
10.1 Purchaser shall comply with all applicable laws, regulations and ordinances, including but not limited to those pertaining to the following: export control, pharmaceutical, cosmetic and food preparations, electrical or electronic waste, introduction or production and use of chemical substances (e.g. Toxic Substances Control Act, REACH), and bribery and corruption (e.g. Foreign Corrupt Practices Act and UK Bribery Act). Purchaser shall maintain in effect all required licenses, permissions, authorizations, consents, and permits. Purchaser shall comply with all applicable export and import laws in its purchase of Products or license of Software hereunder and assumes all responsibility for all transfers and shipments governed by such laws. Seller may terminate the Agreement or suspend delivery if any governmental authority imposes antidumping or countervailing duties or any other penalties on Products.
10.2 Purchaser shall conduct all business transactions or any other trade activity in view of products, technologies, or services only in full accordance with all applicable trade related restrictions within the scope and jurisdiction of the United Nations, the European Union, the United States and the country in which Purchaser´s business operations are geographically located. Purchaser shall cooperate with Seller, and shall submit all documentation, including but not limited to end-user declarations, requested by Seller, to obtain the appropriate licenses prior to an export of the Products or the transfer of any such technical data. Purchaser agrees that Seller is not responsible for any denial or revocation of related licenses.
Purchaser shall not re-export to Russia or re-export for use in Russia, goods or technology as listed in Annexes XI, XX, XXXV and common high priority items as listed in Annex XL to Council Regulation (EU) No 833/2014 of 31 July 2014 concerning restrictive measures in view of Russia's actions destabilising the situation in Ukraine as amended from time to time. If Purchaser re-exports the supplied goods to or for use in Russia, Seller will notify the competent authorities of the respective breach. Purchaser shall ensure that these re-export restrictions are not frustrated by any third parties in their commercial chain, including possible resellers and shall therefore set up and maintain an adequate monitoring mechanism to detect misconduct by any of these third parties and shall in any such event inform Seller accordingly without undue delay. Any violation of the re-export restrictions set forth herein shall entitle Seller to a penalty of 15% of the total value of this Agreement or price of the goods exported, whichever is higher.
10.3 Purchaser shall be responsible to verify that no end-user of the products or recipient of technical data has been listed on any country’s ‘denied parties’ or 'sanctioned parties‘ list of the United Nations, European Union, United States or the country where the Purchaser is located („Sanctioned List“) and agrees not to sell, ship or otherwise transfer products, technologies, or services to military (including military hospitals), intelligence, or law enforcement party or entities or persons identified on, or owned or controlled by entities or persons identified on, any Sanctioned List or located in any country targeted by sanctions by the United Nations, European Union, or the United States.
10.4 Purchaser grants Seller the right to audit Purchaser’s compliance related to Purchaser’s activities and the sale of Products in destinations embargoed or sanctioned under the United Nations, the European Union and the United States legislation. Purchaser agrees that any violation of this Section 10 amounts to a material breach.
11. Termination
In addition to any other remedies provided hereunder, Seller may immediately suspend or terminate the Agreement upon written notice if Purchaser: (a) fails to pay any amount when due; (b) has not otherwise performed or complied herewith, in whole or in part; (c) becomes insolvent, files a petition for bankruptcy or commences or has commenced against it proceedings relating to bankruptcy, receivership, reorganization, or assignment for the benefit of creditors; (d) fails to perform any of its duties or responsibilities under Section 10; (e) engages in any activity that violates, or causes Purchaser or Seller to become subject to, sanctions implemented or administered by the United Nations, the European Union or the United States; and/or (f) any transaction or performance by Purchaser under any agreement with Seller becomes subject to sanctions by the United Nations, the European Union or the United States.
12. Confidential Information
All non-public, confidential or proprietary information, including but not limited to, specifications, samples, patterns, designs, plans, drawings, documents, data, business operations, customer lists, pricing, discounts, or rebates, disclosed by Seller to Purchaser, whether disclosed orally or disclosed or accessed in written, electronic or other form or media, and whether or not marked, designated, or otherwise identified as "confidential" is confidential and may not be disclosed or used by Purchaser for its own use, including but not limited to filing any patent applications disclosing or based on such confidential information, unless authorized in advance in writing by Seller. Upon request, Purchaser shall promptly return or destroy all documents and other materials received from Seller. Seller shall be entitled to injunctive relief for any violation of this section. This section does not apply to information that is: (a) in the public domain; (b) known to Purchaser at the time of disclosure; or (c) rightfully obtained by Purchaser on a non-confidential basis from a third party.
13. Force Majeure
Neither party will be in default of any obligation under this Agreement (other than obligations to pay money) to the extent performance is prevented or delayed by a Force Majeure Event. A “Force Majeure Event” shall include any occurrence beyond the reasonable control of a party, including without limitation: act of nature (e.g., flood, earthquake or storm); war or terrorism; civil commotion or riot; epidemic or pandemic (e.g., COVID-19); destruction of facilities or materials; fire or explosion; labor disturbance or strike; laws, regulations, directives or orders of any government, regulatory or judicial authority; embargo, shortage of raw materials or labor; equipment failure; or failure of public utilities or common carriers.
The party declaring a Force Majeure Event will notify the other party in writing, explaining the nature thereof, and will also notify the other party of the cessation of any such event. A party declaring a Force Majeure Event will use commercially reasonable efforts to remedy, remove, or mitigate such event and the effects thereof. Upon cessation of the Force Majeure Event, performance of any suspended obligation or duty will promptly recommence.
14. Miscellaneous
14.1 No Waiver. No waiver by Seller of any provisions of the Agreement is effective unless explicitly set forth in writing. No failure to exercise, or delay in exercising, any right, remedy, power or privilege arising from the Agreement operates, or may be construed, as a waiver thereof.
14.2 Assignment. Purchaser shall not assign any of its rights or delegate any of its obligations under the Agreement without Seller’s prior written consent. Any purported assignment or delegation in violation hereof is null and void. No assignment or delegation relieves Purchaser of any of its obligations hereunder.
14.3 Relationship of the Parties. The relationship between the parties is that of independent contractors. Nothing contained in the Agreement shall be construed as creating any agency, partnership, joint venture or other form of joint enterprise, employment or fiduciary relationship between the parties, and neither party shall have authority to contract for or bind the other party in any manner whatsoever.
14.4 No Third-Party Beneficiaries. The Agreement is for the sole benefit of the parties and their respective successors and permitted assigns and nothing herein is intended to or shall confer upon any other person or entity any legal or equitable right, benefit, or remedy of any nature.
14.5 Publicity and Use of Name. Purchaser shall not, without the prior written consent of Seller, (a) refer to Seller, its affiliates, Products or Services in any marketing, promotion or other publicity material, whether written or in electronic form, or (b) use proprietary brand names, trademarks, trade names, logos and other intellectual property owned by Seller or one of its affiliates.
14.6 Governing Law and Venue. All matters arising out of or relating to the Agreement are governed by and construed in accordance with the laws of Greece without giving effect to any choice or conflict of law provision or rule and excluding the provisions of the United Nations Convention on Contracts for the International Sale of Goods (Vienna Convention). Any legal suit, action, or proceeding arising out of or relating to the Agreement shall be instituted in courts located in Athens, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action, or proceeding.
14.7 Notices. Except if otherwise agreed upon by the parties, any notices required hereunder shall be made in writing and sent by courier service with tracking or registered or certified mail to the other party at its registered office or principal place of business or such other address as indicated by the receiving party.
14.8 Severability. If any term or provision of the Agreement is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of the Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction.
14.9 Survival. Provisions hereof which by their nature should apply beyond their terms will remain in force after any termination or expiration of the Agreement including, but not limited to, the following provisions: Sections 3, 6, 7, 9, 12, 14.5, 14.6 and 14.9.
14.10 Amendment and Modification. Except as otherwise set forth herein, the Agreement may only be amended or modified in writing and signed by an authorized representative of each party.
14.11 Data Protection. Seller will request, process and use personal data (e.g. contact name and business addresses) from Purchaser to fulfill its obligations under the Agreement and for the continuing relationship management with Purchaser. Seller’s processing activities shall be governed by its privacy policy posted at www.sigmaaldrich.com/privacy.
14.12 Language. These Terms are made available in Greek and English versions. In case of any inconsistencies between the versions, the English language version shall prevail.
